Hububb — Terms of Business (Global)

Important: These Terms of Business (the “Terms”) are a binding legal agreement between you and the Hububb contracting entity identified in Section 1. They govern your access to and use of the Hububb website(s), app(s), APIs, and related services (collectively, the “Platform”). By creating an account, listing or booking a property, offering or purchasing services, integrating channels, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. Marketplace role: Hububb is a technology marketplace that facilitates (a) short and midterm stay bookings between Hosts (including Agency Hosts) and Guests, and (b) service engagements between Service Providers (e.g., cleaners, maintenance) and Hosts/Agency Hosts. Hububb is not a property manager, realestate broker, travel agent, insurer, or employer, and does not control, oversee, or guarantee Host Services, Provider Services, properties, or Guests.

0. Key Definitions

“Hububb,” “we,” “us,” or “our”: The Hububb contracting entity identified in Section 1, together with its affiliates, subsidiaries, directors, officers, employees, contractors, and authorised representatives. “Platform”: The Hububb website(s), mobile applications, APIs, integrations, back-office tools, and all associated services, including payment processing, channel management, messaging, and service marketplace functionality. “User”: Any person or entity who accesses, uses, or registers on the Platform, including but not limited to Hosts, Agency Hosts, Guests, Service Providers, and their authorised representatives. “Account”: The registered user profile on the Platform tied to an individual, company, or agency, through which Bookings, Listings, and transactions are managed. “Dual Roles.” A User may act in more than one capacity (e.g., both as a Guest and a Host, or as a Host and a Service Provider). By creating an Account or using the Platform in any role, you agree to comply with all obligations and responsibilities applicable to each role. “Listing”: A property, room, unit, or accommodation space offered by a Host or Agency Host for Guest occupancy through the Platform or a connected Channel, including all descriptions, images, rates, availability, and house rules. “Host”: An individual or entity (other than Hububb) that offers Listings and Host Services through the Platform, whether as an owner, tenant, licensee, or other authorised party. “Agency Host”: A Host that is a real estate agency, brokerage, property consultant, or similar intermediary, acting as the principal contracting party for one or more Owners. Agency Hosts are responsible for compliance with these Terms regardless of their arrangements with Owners. “Owner”: The legal or beneficial owner of a property listed on the Platform. Owners are not parties to these Terms unless they separately register as Users. “Guest”: An individual or entity that requests, books, or occupies a Listing, including any invitees, visitors, or occupants permitted under the Booking. “Service Provider”: An individual or entity that offers Provider Services (such as cleaning, maintenance, inspections, check-in/out support, guest services, linen, or supplies) to Hosts or Agency Hosts through the Platform. “Host Services”: The provision of accommodation and related hospitality services by a Host or Agency Host to a Guest, including but not limited to lodging, amenities, utilities, and any other features described in a Listing. “Provider Services”: Any services offered by a Service Provider to a Host or Agency Host through the Platform, including labour, goods, or supplies. “Channel” or “OTA”: A third-party online travel agency, distribution partner, or booking platform (e.g., Airbnb, Booking.com, Expedia) connected via Hububb’s channel manager or APIs. “Booking”: A confirmed Guest reservation for Host Services, whether initiated directly on the Platform or via a Channel. “Fees”: All charges, commissions, subscriptions, mark-ups, and other amounts payable to Hububb, including but not limited to Hububb’s service fees, payment processing fees, channel connection fees, adjustments, penalties, or taxes collected on behalf of Users. “Payout”: The net amount disbursed to a Host or Service Provider after deduction of Fees, adjustments, refunds, chargebacks, and applicable taxes. “Security Deposit”: An amount designated by a Host to cover potential damages, extra cleaning, missing items, late check-out, or house-rule violations, managed as set out in Section 9. “Payment Services”: The collection, holding, processing, and disbursement of funds via the Platform, performed by Hububb and/or its third-party payment providers, acting as limited payment collection agent for Hosts and Service Providers. “Applicable Law”: All local, national, and international laws, regulations, by-laws, and rules that apply to a User, a Listing, a property, or a service, including zoning, short-term rental regulations, tax obligations, AML/KYC, sanctions, licensing, safety, health, accessibility, employment, and consumer protection laws. “House Rules”: The policies, conditions, and restrictions set by a Host or Agency Host for a Listing, including check-in/check-out times, occupancy limits, pet policies, smoking bans, event restrictions, and noise rules. “Cancellation Policy”: The Host-selected policy defining the terms under which a Guest may cancel a Booking and the applicable refund rules. “Resolution Process”: The Hububb-facilitated system for Users to raise, negotiate, and resolve disputes regarding Bookings, damages, payments, or Provider Services. “Chargeback”: A reversal of funds initiated by a Guest’s or User’s payment provider, card issuer, or bank relating to a Booking or Provider Service. “Taxes”: Any applicable occupancy taxes, VAT, GST, sales taxes, tourism levies, income taxes, corporate taxes, or other government-imposed charges. “Confidential Information”: All non-public, proprietary, or sensitive information disclosed by Hububb or another User in connection with the Platform. “Force Majeure Event”: Events beyond a party’s reasonable control, including natural disasters, pandemics, cyberattacks, strikes, governmental restrictions, or similar occurrences.

1. Contracting Entity; Applicable Law by Region

1.1 Contracting Entity. Your agreement is with the Hububb contracting entity set out below, based on your place of residence (for individuals) or principal place of business (for entities). “Hububb Contracting Entity” includes its successors, assigns, and permitted affiliates. United Kingdom & European Economic Area (EEA): Hububb Technologies Ltd, a private limited company registered in England and Wales (Company No. [●]), with its registered office at [insert UK address]. Middle East & North Africa (MENA): Hububb Technologies LLC, incorporated in Dubai, United Arab Emirates, with its principal office at [insert UAE address]. United States, Canada & Latin America: Hububb Technologies Inc., a Delaware corporation, with its principal office at [insert US address]. Asia-Pacific (APAC): Hububb Technologies Pte. Ltd., a private limited company incorporated in Singapore, with its registered office at [insert SG address]. Rest of World: Unless otherwise notified, contracts are with Hububb Technologies Ltd (UK). 1.2 Designation Flexibility. Hububb may, at any time and in its discretion, designate a different group entity as your contracting entity, provided that such designation is notified to you and takes effect prospectively. Continued use of the Platform after such notification constitutes acceptance of the new contracting entity. 1.3 Governing Law & Jurisdiction. Except where mandatory consumer protections require otherwise: Users in the UK & EEA: These Terms are governed by the laws of England & Wales, and disputes are subject to the exclusive jurisdiction of the courts of England. Users in MENA: These Terms are governed by UAE law. Disputes shall be subject to the exclusive jurisdiction of the courts of Dubai (or, if designated in writing by Hububb, the DIFC Courts). Users in the US, Canada & Latin America: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles, and disputes are subject to the exclusive jurisdiction of the state and federal courts of Delaware. Users in APAC: These Terms are governed by the laws of Singapore, and disputes are subject to the exclusive jurisdiction of the courts of Singapore. Rest of World: These Terms are governed by the laws of England & Wales, and disputes are subject to the courts of England. 1.4 Mandatory Consumer Protections. If you are a consumer and Applicable Law in your country of residence provides you with mandatory rights or remedies, those protections apply and prevail over the choice of law and jurisdiction set out above to the minimum extent required. 1.5 Arbitration Option. Hububb may, at its discretion, require arbitration for certain disputes, as set out in Section 22 (Dispute Resolution). 1.6 Translations. These Terms may be translated into multiple languages. In the event of conflict, the English version prevails.

2. Nature of the Platform; No Property Management

2.1 Marketplace Only. Hububb operates a digital marketplace that facilitates (a) short- and mid-term accommodation bookings between Hosts/Agency Hosts and Guests, and (b) service engagements between Service Providers and Hosts/Agency Hosts. Hububb does not: own, lease, furnish, manage, or control properties or Listings; provide Host Services, Provider Services, or Guest Services; act as a real estate broker, property manager, travel agent, insurer, or employer; guarantee the existence, quality, legality, safety, or suitability of any property, Listing, Host Service, Provider Service, or Guest. 2.2 Independent Relationships. Hosts and Agency Hosts act independently in providing Host Services. Service Providers act independently in providing Provider Services. Guests contract directly with Hosts/Agency Hosts for Host Services, and with Service Providers where applicable. Hububb is not a party to these contracts, except as limited payment collection agent under Section 6. 2.3 No Tenancy, Employment, or Fiduciary Relationship. Use of the Platform does not create a tenancy, lease, joint venture, partnership, fiduciary duty, employment, or agency relationship between Hububb and any User (except the limited agency for payment collection in Section 6). 2.4 No Control Over Users. Hububb does not direct or control Users in their provision of Host Services or Provider Services. Users determine their own pricing, availability, service levels, and policies, subject to compliance with these Terms and Applicable Law. 2.5 No Guarantee of Availability or Accuracy. Hububb does not guarantee uninterrupted availability of the Platform, error-free synchronization with Channels, or accuracy of Listings, calendars, reviews, or other User content. 2.6 Compliance Responsibility. Each User is solely responsible for ensuring that their Listings, Bookings, and services comply with Applicable Law, including but not limited to: local licensing and zoning requirements; safety, fire, and health regulations; taxation obligations; data protection and privacy laws; building, HOA, or landlord restrictions. 2.7 Guest Acknowledgement. Guests acknowledge that Hububb is not responsible for the acts, omissions, or representations of Hosts, Agency Hosts, or Service Providers, and that Hububb has no control over the condition, legality, or suitability of Listings. 2.8 Local Law Override. To the fullest extent permitted by law, even where Applicable Law deems Hububb to be a “property manager,” “operator,” “broker,” or similar regulated entity by virtue of operating the Platform, Hububb’s obligations and liabilities shall remain strictly limited to its role as a technology marketplace and payment collection agent as described in these Terms. Hububb does not assume any expanded duties, liabilities, or warranties unless expressly agreed in a separate written contract signed by an authorised officer of Hububb.

4 Listings; Standards; Compliance

4.1 Accuracy of Listings. (a) Hosts and Agency Hosts must ensure that all Listings are complete, truthful, accurate, and not misleading, including descriptions, rates, fees, availability, amenities, location, and house rules. (b) Photos, videos, floorplans, and other media must reflect the actual condition of the property and not materially misrepresent size, quality, or features. (c) Hosts are responsible for promptly updating Listings to reflect changes in availability, pricing, or property condition. 4.2 Compliance with Law and Rules. (a) Hosts/Agency Hosts are solely responsible for ensuring that each Listing complies with all Applicable Law, including but not limited to: short-term rental (STR) licensing or registration requirements; zoning and land use restrictions; building codes, fire, health, and safety regulations; accessibility, anti-discrimination, and consumer protection laws; HOA, strata, leasehold, or landlord restrictions. (b) Hububb does not verify compliance and assumes no responsibility for Listings that breach Applicable Law. 4.3 Safety Standards. Hosts/Agency Hosts must ensure properties meet minimum safety standards, including (where required): functioning smoke and carbon monoxide detectors; fire extinguishers and clear fire exits; secure locks on doors and windows; adequate lighting and hazard-free access; compliance with local safety inspections. 4.4 House Rules & Occupancy Limits. (a) Hosts/Agency Hosts must clearly state house rules, including but not limited to: occupancy limits, pet policies, smoking restrictions, event/party bans, quiet hours, and check-in/check-out procedures. (b) Hosts/Agency Hosts are solely responsible for enforcing house rules and occupancy limits with Guests. (c) Any fines or penalties arising from over-occupancy or rule violations are the responsibility of the Host/Agency Host. 4.5 Owner & Third-Party Consents. (a) Agency Hosts must obtain and maintain written consent from each Owner to list the property and bind the Owner to Booking terms. (b) Hosts/Agency Hosts are responsible for obtaining any third-party consents required (e.g., from HOAs, building management, mortgage lenders, insurers, or landlords). 4.6 Insurance Disclosure. Hosts/Agency Hosts must disclose whether their insurance covers short-term rental activity. Hububb does not verify insurance coverage. 4.7 Removal of Listings. Hububb may suspend or remove any Listing that: is inaccurate, incomplete, misleading, or fraudulent; breaches Applicable Law or these Terms; poses safety risks or reputational harm to Hububb. 4.8 Listing Quality & Minimum Standards Policy. (a) Hububb may publish, update, and enforce a Listing Quality & Minimum Standards Policy, setting objective and subjective benchmarks for Listings, including but not limited to: cleanliness and maintenance; accuracy of descriptions and media; minimum photo standards; response times to Guest inquiries; minimum review scores or ratings; cancellation reliability. (b) Hububb may remove or suspend any Listing or Account that falls below these standards, with or without prior notice. (c) Hububb’s determination of whether a Listing meets quality standards shall be final and binding.

5 Bookings; Channels; Conflicts of Terms

5.1 Formation of Bookings. (a) A Booking is created when a Guest’s request is accepted by a Host/Agency Host (whether manually or via instant booking settings) or confirmed through a connected Channel. (b) By confirming a Booking, the Host/Agency Host agrees to deliver the Host Services described in the Listing under the applicable cancellation policy and house rules. (c) Guests agree to pay all applicable charges for the Booking, including rates, Fees, taxes, and Security Deposits. 5.2 Direct Bookings via Hububb. (a) Bookings made directly on the Platform are governed by these Terms, including the Host’s selected cancellation and refund policies. (b) Hububb may provide Guests with Booking confirmations, receipts, and communications on behalf of the Host/Agency Host. (c) Hosts/Agency Hosts remain the contracting party responsible for Host Services. 5.3 Channel/OTA Bookings. (a) Where a Listing is distributed via a Channel (e.g., Airbnb, Booking.com), the Guest contract is governed by the Channel’s terms and conditions in addition to these Terms. (b) Hosts/Agency Hosts are solely responsible for complying with Channel rules, including content standards, guest communications, pricing, availability, and cancellations. (c) Hububb is not liable for penalties, disputes, or losses arising from a Host’s failure to comply with Channel requirements. 5.4 Conflict of Terms. (a) If there is a conflict between these Terms and a Channel’s terms for a Channel Booking, the Channel’s terms govern the Guest–Host relationship for that Booking. (b) These Terms continue to govern the relationship between the Host/Agency Host (and Service Providers, where applicable) and Hububb. 5.5 Calendar & Availability Sync. (a) Hububb uses reasonable technical measures to synchronise Listings, availability, and rates across Channels. (b) Hosts/Agency Hosts are responsible for monitoring their calendars and resolving any double-bookings or discrepancies. (c) Hububb does not guarantee error-free or real-time synchronisation. 5.6 Cancellations & Modifications. (a) For Direct Bookings, the Host’s selected cancellation policy applies (see Section 8). (b) For Channel Bookings, the Channel’s cancellation and refund rules apply. (c) Hosts/Agency Hosts must honour confirmed Bookings unless prevented by Force Majeure or safety/legal concerns. (d) Repeated cancellations may result in suspension or removal from the Platform. 5.7 Hububb’s Role. (a) Hububb may, at its discretion, facilitate communication, confirmations, and modifications between Guests and Hosts/Agency Hosts. (b) Hububb is not responsible for ensuring performance of Host Services or for resolving Guest–Host disputes (except as set out in Section 8). 5.8 No Off-Platform Bookings. (a) Users may not solicit, encourage, or accept payments or Bookings for Host Services or Provider Services outside of the Platform where the introduction, Listing, or connection occurred on the Platform. (b) Circumvention of the Platform (including by providing direct contact details to avoid Hububb Fees) is strictly prohibited. (c) Hububb may suspend or terminate Accounts, withhold Payouts, or impose penalties for circumvention. (d) Hububb reserves the right to recover lost Fees or damages arising from any off-Platform Booking in violation of this clause.

6 Payments; Limited Payment Collection Agent; Payouts

6.1 Appointment of Hububb as Limited Payment Collection Agent. (a) Each Host and Service Provider hereby appoints Hububb and/or its designated payment affiliates as its limited payment collection agent solely for the purpose of: accepting funds from Guests (for Host Services), and from Hosts/Agency Hosts (for Provider Services); processing, holding, and disbursing such funds as Payouts in accordance with these Terms. (b) Receipt of funds by Hububb (or its payment affiliate) is deemed receipt by the Host or Service Provider. (c) Hububb’s role is strictly limited to collection and disbursement; Hububb is not a bank, trustee, fiduciary, or escrow agent. 6.2 Payment Methods. (a) Guests and Users must provide a valid payment method (e.g., credit/debit card, bank transfer, digital wallet) accepted by Hububb. (b) Hububb may use third-party payment processors and reserves the right to add or remove accepted methods at any time. (c) Hububb is not responsible for service interruptions or failures of third-party payment providers. 6.3 Timing of Payouts. (a) Hububb will initiate Payouts to Hosts and Service Providers in accordance with their Account settings, subject to delays caused by: fraud prevention checks; banking system delays; weekends and holidays; local regulatory requirements; if the Booking originated via a Channel, that Channel’s payout schedule. (b) Hububb is under no obligation to advance funds before they are received from the paying party or Channel. 6.4 Deductions & Set-Off. Hububb may deduct from amounts held on behalf of a User: Hububb Fees and payment processing charges; refunds, chargebacks, or credits issued to Guests; taxes collected or remitted on the User’s behalf; penalties or damages owed under these Terms; outstanding negative balances. Hububb may set off such amounts against current or future Payouts. 6.5 Currency & Foreign Exchange. (a) Payments may be collected or disbursed in multiple currencies. (b) Hububb may apply foreign exchange (FX) conversion rates and spreads, which will be disclosed at the time of transaction. (c) Users are responsible for FX losses caused by mismatched currencies or fluctuating exchange rates. 6.6 Security Deposits. (a) If a Host specifies a Security Deposit, Hububb may (where supported) facilitate collection via pre-authorization, capture, or charge to the Guest’s payment method. (b) Application of Security Deposits is subject to Section 9 (Damage, Extra Cleaning, and Security Deposits). (c) Hububb is not liable if a Guest’s payment method fails or if the amount is insufficient to cover damages. 6.7 Chargebacks & Fraud. (a) Users acknowledge that chargebacks may occur where a Guest or payer disputes a transaction with their bank or card issuer. (b) Hosts/Service Providers bear the risk of chargebacks relating to their transactions. (c) Users must promptly provide documentation requested by Hububb to contest chargebacks. (d) Hububb may suspend Payouts or recover amounts already disbursed if chargebacks are upheld. 6.8 Payment Holds & Reserves. Hububb may, in its sole discretion, place a hold or rolling reserve on Payouts if: there is suspected or actual fraud; repeated cancellations or disputes arise; the User has a history of chargebacks or policy violations; Hububb reasonably believes there is a financial risk. 6.9 Negative Balances. (a) If deductions result in a negative balance, the User must repay the balance within seven (7) days. (b) Hububb may collect negative balances by charging the User’s stored payment method, offsetting against future Payouts, or invoicing the User. (c) Failure to repay may result in suspension or termination of the Account. 6.10 No Interest. Funds collected and held by Hububb do not accrue interest for Users. Hububb may retain any interest or earnings on such funds. 6.11 Taxes & Withholding. (a) Users are solely responsible for determining and fulfilling their tax obligations (see Section 7). (b) Hububb may withhold amounts where legally required (e.g., VAT/GST, withholding tax). (c) Hububb will provide transaction summaries or invoices where required by law, but Users remain responsible for reporting and remitting taxes. 6.12 Right to Suspend or Freeze Payout (a) Hububb may, in its sole discretion, delay, suspend, or freeze any Payout (in whole or in part) if: fraud, money laundering, or other illegal activity is suspected; a Booking or transaction is subject to dispute, investigation, or claim; Hububb reasonably believes the User has breached these Terms; required verification, documentation, or compliance checks are incomplete; Hububb is legally or regulatorily required to do so. (b) Hububb will notify the User of the hold or freeze where legally permitted, but such notification may be delayed if disclosure would compromise an investigation. (c) Payouts may remain suspended until the matter is resolved to Hububb’s satisfaction, or for the duration required by Applicable Law.

7 Taxes; Self-Billing; Invoices

7.1 User Tax Responsibility. (a) Hosts/Agency Hosts and Service Providers are solely responsible for: determining their tax obligations under Applicable Law; calculating, reporting, and remitting all taxes (including but not limited to VAT, GST, sales tax, income tax, corporate tax, occupancy/tourism levies, and withholding taxes) arising from their activities on the Platform; including applicable taxes in their Listing prices or service charges. (b) Hububb does not provide tax, accounting, or legal advice. Users should seek independent professional advice regarding their tax obligations. 7.2 Occupancy, Lodging, and Tourism Taxes. (a) In some jurisdictions, Hububb or a Channel may be required to collect and remit occupancy, lodging, hotel, or tourism taxes on behalf of Hosts. (b) Where Hububb elects or is required to collect such taxes, the amounts will be added to the Guest’s charges and remitted by Hububb directly to the relevant tax authority. (c) Hosts remain responsible for all other taxes not collected by Hububb or a Channel. 7.3 Transaction Taxes (VAT/GST). (a) Hububb may be required to charge VAT/GST on its own service fees, which will be added to the Fees payable by Users. (b) Where legally required, Hububb will issue VAT/GST-compliant invoices for its Fees. (c) Users must ensure they provide accurate tax registration details (e.g., VAT number, TRN, GSTIN) and update these promptly if they change. 7.4 Self-Billing Authorisation. (a) Where supported by Applicable Law, Users hereby authorise Hububb to issue self-billed tax invoices and credit notes on their behalf for supplies made through the Platform. (b) This includes adjustments for refunds, chargebacks, and cancellations. (c) Users must notify Hububb immediately if they become VAT/GST registered, deregistered, or if their registration details change. 7.5 Withholding Taxes. (a) Hububb may be required by Applicable Law to withhold taxes from Payouts (e.g., income tax, withholding tax on cross-border payments). (b) Hububb will remit such withheld amounts to the relevant tax authority and provide Users with evidence of remittance where available. (c) Users acknowledge that withheld amounts reduce the Payout they receive and agree that Hububb has no obligation to gross-up or compensate for such withholdings. 7.6 Recordkeeping & Reporting. (a) Users must maintain complete and accurate records of their transactions and tax obligations. (b) Hububb may provide Users with transaction summaries or statements, but these are for convenience only and may not be sufficient to meet tax reporting obligations. (c) Hububb may, where required by law, disclose User transaction data to tax authorities. 7.7 Platform Not a Marketplace Operator for Tax Purposes. (a) Except where expressly required by Applicable Law, Hububb shall not be deemed a “digital marketplace operator,” “online platform operator,” or similar designation for tax purposes. (b) Hububb’s role is limited to facilitating payments as a limited payment collection agent and providing marketplace technology. (c) Hububb does not assume responsibility for Users’ tax obligations, except to the extent legally compelled to collect or remit specific taxes. 7.8 Indemnity for Taxes. Users agree to indemnify and hold harmless Hububb from any claims, liabilities, penalties, or costs arising from their failure to comply with tax obligations, including misreporting, underpayment, or failure to remit taxes.

8 Cancellations, Refunds, and Resolution

8.1 Cancellation Policies. (a) Hosts/Agency Hosts must select a cancellation policy for each Listing from the options provided by Hububb (e.g., Flexible, Moderate, Strict, or custom). (b) Guests are bound by the policy in place at the time of Booking. (c) Channel Bookings are subject to the applicable Channel’s cancellation and refund rules, which may override the Host’s selected policy. (d) Hosts/Agency Hosts are responsible for understanding how cancellation policies apply across Direct Bookings and Channel Bookings. 8.2 Refunds. (a) Refunds will be processed in accordance with the applicable cancellation policy, these Terms, and Applicable Law. (b) Hububb may facilitate refunds on behalf of Hosts/Agency Hosts, but the Host/Agency Host remains financially responsible for the refund. (c) Refunds may be issued to Guests for: cancellations within the permitted policy window; extenuating circumstances (if applicable under Hububb or Channel rules); significant Listing inaccuracies or failure to provide access to the property; safety, legality, or habitability concerns. (d) Hububb may debit refunds from future Payouts or charge the Host/Agency Host’s stored payment method. 8.3 Guest No-Shows. (a) If a Guest fails to check in without cancelling, the Host/Agency Host is entitled to keep amounts due in accordance with the selected cancellation policy. (b) Hububb has no obligation to enforce no-show claims but may facilitate them through the Platform. 8.4 Host Cancellations. (a) Hosts/Agency Hosts who cancel confirmed Bookings may be subject to penalties, including: forfeiture of Payouts; cancellation fees; removal of the Listing from search results; suspension or termination of their Account. (b) Exceptions may apply in cases of Force Majeure or safety/legal risks. 8.5 Resolution Process. (a) Users must first attempt to resolve issues directly via the Platform’s messaging and resolution tools. (b) Hububb may, but is not obligated to, assist in mediating disputes. (c) Where Hububb intervenes, its decision to facilitate or decline a resolution is final and binding for Platform accounting purposes (but does not waive legal rights outside the Platform). 8.6 Extenuating Circumstances. (a) Hububb may, at its sole discretion, establish and apply an Extenuating Circumstances Policy that permits Guests to cancel and receive refunds outside the Host’s selected cancellation policy in limited cases (e.g., natural disasters, pandemics, government restrictions). (b) Hosts/Agency Hosts agree to be bound by such policy where applicable. 8.7 Chargebacks & Payment Disputes. (a) If a Guest obtains a chargeback or payment reversal, the Host/Agency Host remains responsible for the disputed amount. (b) Hububb may provide transaction evidence to assist in contesting the chargeback but is not liable for the outcome. (c) Hububb may recover chargeback amounts from future Payouts. 8.8 No Platform Liability. (a) Hububb is not liable for cancellations, no-shows, or disputes between Users. (b) Hububb’s role is limited to facilitating policies, refunds, and resolution tools. (c) All financial responsibility ultimately rests with the Host/Agency Host and Guest.

9 Damage, Extra Cleaning, and Security Deposits

9.1 Guest Liability for Damage. (a) Guests are responsible for leaving the property, furnishings, and contents in the condition they were in at check-in, subject to normal wear and tear. (b) Guests are liable for any damage, loss, theft, or extra cleaning caused by them, their invitees, or occupants under their Booking. 9.2 Host Claims. (a) Hosts/Agency Hosts must submit claims for damage, missing items, or extra cleaning through the Platform within seventy-two (72) hours of Guest check-out (or such longer period as Hububb may permit in its sole discretion). (b) Claims must include documented evidence (e.g., photos, receipts, invoices, inspection reports). (c) Hububb may facilitate communications and, where applicable, charge Guests or apply Security Deposits. 9.3 Security Deposits. (a) Hosts may designate a Security Deposit amount for a Listing, which Hububb may facilitate by pre-authorisation, hold, or charge to the Guest’s payment method. (b) Hububb is not responsible if a Guest’s payment method fails, is insufficient, or becomes invalid. (c) Security Deposits do not limit a Guest’s liability; Hosts may claim additional amounts if damages exceed the deposit. 9.4 Extra Cleaning & Service Charges. (a) Hosts may charge Guests for extraordinary cleaning required due to spills, stains, odours, or breaches of house rules (e.g., smoking, pets, parties). (b) Routine cleaning between stays is included in the Listing rate and may not be double-charged. (c) Hububb may facilitate recovery of extra cleaning charges via Guest payment methods. 9.5 Hububb’s Role. (a) Hububb is not an insurer or guarantor of claims. (b) Hububb’s role is limited to facilitating claims, communications, and payment processing. (c) Hububb may, in its sole discretion, decide whether evidence provided supports charging a Guest or applying Security Deposits, and its decision is final for Platform accounting purposes. 9.6 Failure to Pay. If a Guest fails to pay amounts owed under this Section, Hububb may: collect via the Guest’s stored payment method; offset against any amounts otherwise payable to the Guest on the Platform; pursue collection through third-party agencies or legal action. 9.7 Host & Agency Host Responsibility. (a) Hosts/Agency Hosts are solely responsible for accurately documenting and substantiating claims. (b) Agency Hosts must handle Owner communications and indemnify Hububb against disputes where an Owner challenges a damage claim. 9.8 Indemnity. Users agree to indemnify and hold harmless Hububb from any liability, claim, or expense arising from damage disputes, except to the extent caused directly by Hububb’s gross negligence or wilful misconduct. 9.9 Hububb Damage Protection Program (Optional). (a) Hububb may, at its sole discretion, introduce a Hububb Damage Protection Program (the “Program”) that offers limited financial protection to Hosts/Agency Hosts for certain Guest-caused damages. (b) Participation in the Program, if offered, will be subject to separate terms, conditions, caps, exclusions, and claims processes published by Hububb from time to time. (c) The Program is not insurance and does not replace any homeowner, landlord, or other required insurance policy. (d) Hububb may modify, suspend, or withdraw the Program at any time without liability. (e) Hosts/Agency Hosts remain primarily responsible for maintaining adequate property and liability insurance, regardless of Program participation.

10 Service Provider Marketplace

10.1 Independent Contractors. (a) Service Providers operate as independent businesses and are not employees, agents, or representatives of Hububb. (b) Nothing in these Terms shall be construed to create an employment, joint venture, partnership, or fiduciary relationship between Hububb and any Service Provider. (c) Service Providers are solely responsible for their own taxes, insurance, permits, and business obligations. 10.2 Provision of Services. (a) Service Providers agree to perform Provider Services with professional skill, due care, and in accordance with industry standards. (b) Hosts/Agency Hosts are responsible for selecting, booking, and paying for Provider Services via the Platform. (c) Hububb does not warrant the quality, safety, legality, or fitness of any Provider Services. 10.3 Licensing & Compliance. (a) Service Providers must hold and maintain all licenses, permits, and approvals required by Applicable Law to perform their services. (b) Service Providers must comply with all workplace safety laws and provide appropriate training, protective equipment, and insurances for their personnel. 10.4 Insurance. (a) Service Providers must maintain adequate liability insurance and any other insurance required by Applicable Law. (b) Hububb does not provide insurance coverage for Service Providers, Hosts, or Guests. 10.5 Marketplace Integrity. (a) All Provider Services arranged through Hububb must be completed and paid for through the Platform. (b) Circumvention (soliciting or completing off-Platform transactions to avoid Hububb Fees) is strictly prohibited and may result in suspension, termination, or recovery of lost Fees. 10.6 Performance & Cancellations. (a) Service Providers must perform services as agreed, at the scheduled time and location. (b) Failure to attend, late arrivals, or substandard work may result in penalties, withheld Payouts, negative reviews, or removal from the Platform. (c) Service Providers cancelling confirmed jobs without valid reason may face suspension or account termination. 10.7 Hububb’s Role. (a) Hububb is not a party to contracts between Hosts/Agency Hosts and Service Providers. (b) Hububb’s role is limited to facilitating connections, communications, and payments. (c) Hububb has no control over, and disclaims liability for, the acts or omissions of Service Providers. 10.8 Ratings & Reviews. (a) Hosts/Agency Hosts may review Service Providers after each job, and Service Providers may review Hosts/Agency Hosts. (b) Reviews must be fair, accurate, and not manipulative. (c) Hububb may moderate or remove reviews in accordance with its policies. 10.9 Suspension & Removal. Hububb may suspend or permanently remove Service Providers who: fail to meet performance standards; receive repeated complaints or low ratings; breach these Terms or Applicable Law; pose reputational or legal risk to Hububb. 10.10 Minimum Standards Policy for Service Providers (a) Hububb may publish and enforce a Minimum Standards Policy setting benchmarks for Provider Services, which may include: punctuality and reliability; quality of cleaning, maintenance, or service delivery; professionalism and conduct on-site; compliance with health, safety, and hygiene rules; minimum average review scores or ratings. (b) Service Providers who fail to meet these standards may face penalties, withheld Payouts, reduced visibility in search results, suspension, or removal from the Platform. (c) Hububb’s determination of whether a Service Provider meets minimum standards shall be final and binding.

11 Insurance & Risk Allocation

11.1 Hububb Not an Insurer. (a) Hububb does not provide insurance of any kind to Users. (b) Hububb is not responsible for arranging or verifying insurance coverage for Hosts, Guests, Agency Hosts, or Service Providers. (c) Participation on the Platform does not replace any insurance requirement under Applicable Law. 11.2 Host Insurance Obligations. (a) Hosts and Agency Hosts must maintain adequate insurance appropriate to their activities, which may include: homeowners’ or landlord insurance covering short-term rental use; commercial general liability insurance; property damage and contents insurance. (b) Hosts/Agency Hosts are responsible for ensuring their policies permit short-term rental activity and do not exclude Guest stays. 11.3 Service Provider Insurance Obligations. (a) Service Providers must maintain insurance appropriate to their services, which may include: public liability insurance; employer’s liability/workers’ compensation insurance (if they employ staff); professional indemnity insurance (where applicable). (b) Service Providers must ensure their personnel are adequately insured and trained. 11.4 Guest Insurance. Guests are strongly encouraged to maintain travel, medical, and personal property insurance covering their stay. Hububb does not provide or arrange Guest insurance. 11.5 Proof of Insurance. (a) Hububb may, at any time, request evidence of insurance from any User. (b) Failure to provide satisfactory proof within five (5) business days may result in suspension or removal from the Platform. 11.6 Optional Hububb Programs. (a) Hububb may, at its discretion, offer optional protection or damage coverage programs (e.g., Section 9.9 Hububb Damage Protection Program). (b) Such programs are not insurance and are subject to separate terms and limitations. 11.7 Risk Allocation. (a) Each User participates on the Platform at their own risk. (b) To the maximum extent permitted by law, Hububb disclaims all responsibility for losses, damages, or liabilities arising out of or related to the acts or omissions of Users. (c) Users remain responsible for obtaining adequate insurance to protect against such risks. 11.8 No Reliance. (a) Users acknowledge and agree that they may not rely on Hububb, the existence of the Platform, or the participation of other Users as a substitute for insurance or risk management. (b) Users must not assume Hububb will provide financial protection, guarantees, or coverage unless expressly provided in writing in a separate program or agreement. (c) Any reliance on Hububb outside of these Terms is entirely at the User’s own risk.

12 User Conduct; Safety; Compliance

12.1 General Conduct. Users must use the Platform responsibly, lawfully, and in good faith. Prohibited conduct includes: fraud, misrepresentation, or false information; harassment, discrimination, or abuse of other Users or third parties; unsafe, illegal, or antisocial behaviour; tampering with or misusing the Platform. 12.2 Legal Compliance. Users must comply with all Applicable Law, including: anti-money laundering (AML) and counter-terrorism financing (CTF) regulations; sanctions and trade restrictions; tax, licensing, health, and safety obligations; anti-discrimination and accessibility laws. 12.3 Prohibited Transactions. The Platform may not be used for: illegal activities, including but not limited to drug use, sex work, or trafficking; money laundering, fraud, or other financial crimes; commercial activities unrelated to property or services supported by the Platform; circumvention of Hububb Fees (see Section 5.8 and 10.5). 12.4 Safety Obligations. (a) Hosts/Agency Hosts must ensure properties are safe, compliant, and suitable for occupancy. (b) Service Providers must perform their services safely and in accordance with industry standards. (c) Guests must behave responsibly, respect house rules, and not endanger themselves, other Users, or neighbours. 12.5 Community Standards. Hububb may publish and enforce Community Standards or Code of Conduct policies. Users must comply with such standards, which may include: respectful communication; timely responses to inquiries; maintaining professionalism; fair use of reviews and ratings. 12.6 Platform Integrity. Users must not: misuse the messaging system (e.g., spam, solicitations, off-platform deals); attempt to hack, scrape, reverse-engineer, or disrupt the Platform; interfere with reviews, ratings, or search rankings; impersonate another User or misstate their identity. 12.7 Investigations. Hububb may monitor, investigate, or audit User activity on the Platform to ensure compliance with these Terms and Applicable Law. 12.8 Consequences of Breach. If a User breaches this Section, Hububb may, in its discretion: issue warnings; suspend or restrict access to features; cancel Bookings or Provider engagements; withhold or recover Payouts; terminate Accounts. 12.9 Indemnity. Users agree to indemnify Hububb against losses, claims, or liabilities arising from their breach of this Section.

13 Guest Responsibilities

13.1 Accurate Information. Guests must provide complete and accurate information when creating an Account, making Bookings, or communicating with Hosts/Agency Hosts. 13.2 Payment Obligations. (a) Guests agree to pay all amounts associated with their Bookings, including Listing rates, Fees, taxes, Security Deposits, and any additional charges for damages, extra cleaning, late check-out, or house-rule violations. (b) Guests must maintain valid payment methods and authorise Hububb to collect all applicable charges. 13.3 Compliance with House Rules. (a) Guests must comply with all House Rules specified in the Listing and communicated by the Host/Agency Host. (b) Breaches of House Rules (e.g., smoking, pets, unauthorised events, excessive occupancy, or noise complaints) may result in penalties, eviction, forfeiture of amounts paid, and additional charges. 13.4 Respect for Property. (a) Guests must treat properties and furnishings with care and must not cause damage, nuisance, or disturbance. (b) Guests are responsible for the conduct of all invitees and occupants included in their Booking. (c) Guests must promptly report any damage to the Host/Agency Host and Hububb through the Platform. 13.5 Prohibited Uses. Guests may not: use Listings for unlawful activities (including parties, prostitution, drug use, or unlicensed commercial activity); sublet, assign, or re-list a property without Host/Agency Host consent; tamper with security devices, cameras, or smart locks; engage in harassment, abuse, or discrimination against Hosts, Service Providers, or neighbours. 13.6 Check-In and Check-Out. Guests must respect check-in and check-out times, unless agreed otherwise with the Host/Agency Host. Late departures may incur additional charges. 13.7 Overstays. (a) Guests who remain beyond the scheduled check-out without Host/Agency Host consent may be charged up to two (2) times the average nightly rate for each additional night, plus all related damages, losses, and eviction costs. (b) Hububb may facilitate recovery of such amounts from the Guest’s payment method. 13.8 Liability for Damages. (a) Guests are responsible for the cost of repair, replacement, or extra cleaning required due to their actions or those of their invitees. (b) Security Deposits may be applied, and Hububb may charge Guests directly for amounts not covered by Security Deposits. 13.9 Reviews. Guests must provide reviews that are truthful, respectful, and not misleading. Misuse of reviews (e.g., extortion, false statements) is prohibited. 13.10 Consequences of Breach. Guests who breach these responsibilities may face: cancellation of current and future Bookings; liability for additional charges or damages; suspension or termination of their Account; legal action by Hosts/Agency Hosts, Service Providers, or third parties.

14 Content; Intellectual Property; Brand Use

14.1 User Content. (a) Users may upload, post, or provide content to the Platform, including photos, videos, text, reviews, logos, business details, or other materials (“User Content”). (b) Users retain ownership of their User Content, subject to the license granted to Hububb under these Terms. (c) Users warrant that their User Content: is accurate, lawful, and not misleading; does not infringe the intellectual property, privacy, or publicity rights of third parties; complies with these Terms and Applicable Law. 14.2 License to Hububb. (a) By submitting User Content, Users grant Hububb a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, reproduce, modify, adapt, translate, distribute, publish, publicly perform, and display such content in connection with operating, marketing, and improving the Platform. (b) This license continues for as long as the User Content is available on the Platform, and for a reasonable period thereafter for archival, audit, or dispute resolution purposes. 14.3 Reviews & Ratings. (a) Users may leave reviews and ratings about other Users. (b) Reviews must be fair, truthful, and non-manipulative. (c) Hububb may remove or moderate reviews that violate these Terms or Applicable Law, or where required to protect reputation, safety, or compliance. (d) Hububb does not endorse or verify User reviews, which reflect the opinions of individual Users only. 14.4 Hububb Content & IP. (a) All intellectual property rights in the Platform, including trademarks, logos, service marks, software, design, databases, and proprietary data (“Hububb IP”), are owned or licensed by Hububb. (b) Except as expressly permitted, Users may not copy, distribute, modify, reverse-engineer, scrape, or create derivative works from Hububb IP. (c) No license or right in Hububb IP is granted except as necessary for Users to access and use the Platform in accordance with these Terms. 14.5 Brand Use Restrictions. (a) Users may not use Hububb’s name, trademarks, or branding without prior written consent. (b) Any authorised use must comply with Hububb’s brand guidelines. (c) Hububb may revoke any granted brand use permissions at any time. 14.6 Takedowns & Enforcement. (a) Hububb may remove or disable access to any User Content that it reasonably believes violates these Terms, Applicable Law, or third-party rights. (b) Hububb will respond to valid takedown notices (including copyright/IP complaints) in accordance with Applicable Law. (c) Repeated infringement may result in suspension or termination of the User’s Account. 14.7 Survival. User Content licenses survive termination of these Terms to the extent necessary for Hububb to operate, archive, or resolve disputes relating to the Platform.

15 Data Protection; Privacy; Records

15.1 Privacy Notice. (a) Hububb collects, uses, and processes personal data in accordance with its Privacy Notice, which forms part of these Terms. (b) By using the Platform, Users consent to the collection and use of their data as described in the Privacy Notice. 15.2 Role of Hububb. (a) In relation to User Account information and Platform operations, Hububb acts as an independent data controller (or equivalent under Applicable Law). (b) In relation to personal data exchanged between Hosts/Agency Hosts and Guests or between Service Providers and Hosts/Agency Hosts, Hububb acts as a data processor or facilitator, transmitting information as necessary for Bookings, payments, or communications. (c) Nothing in these Terms shall cause Hububb to be deemed a controller of Host, Guest, or Service Provider records beyond what is necessary for Platform functionality. 15.3 User Responsibilities. (a) Hosts/Agency Hosts and Service Providers must handle any personal data of Guests, Owners, or staff in compliance with Applicable Law, including GDPR, UK GDPR, DIFC DP Law, and other local privacy regulations. (b) Users must not misuse or disclose personal data obtained through the Platform (e.g., contacting Guests for off-platform bookings, marketing unrelated services, or selling data). 15.4 Security. (a) Hububb implements technical and organisational security measures to protect User data against unauthorised access, loss, or misuse. (b) Users must also take reasonable steps to protect any personal data they process (e.g., securing devices, using strong passwords, restricting staff access). 15.5 Data Access & Sharing. (a) Hububb may share personal data with third-party service providers (e.g., payment processors, KYC providers, hosting services) as necessary for Platform operations. (b) Hububb may disclose personal data where legally required (e.g., tax authorities, law enforcement, regulators). (c) Data may be transferred internationally, subject to safeguards required by Applicable Law (e.g., standard contractual clauses). 15.6 Data Subject Rights. Users may exercise their rights under Applicable Law (e.g., access, correction, deletion, restriction, portability, objection) by contacting Hububb through the channels set out in the Privacy Notice. 15.7 Recordkeeping. (a) Users must maintain accurate records of transactions and compliance with these Terms. (b) Agency Hosts must keep records of written Owner authorisations and provide them to Hububb upon request (see Section 3.5). (c) Hububb may retain transaction and identity data for as long as necessary for regulatory, tax, fraud prevention, or legal purposes. 15.8 Data Breaches. (a) Users must promptly notify Hububb of any personal data breach affecting information obtained through the Platform. (b) Hububb will notify Users and regulators of data breaches where required by Applicable Law. 15.9 Survival. Data protection and privacy obligations survive termination of these Terms to the extent required by law.

16 Reviews & Ratings

16.1 Purpose. Reviews and ratings help maintain transparency, accountability, and trust among Users. They are intended to reflect genuine experiences and opinions. 16.2 User Responsibility. (a) Users may leave reviews and ratings following a Booking or Provider Service. (b) Reviews must be: truthful and based on actual experiences; respectful and non-abusive; free from defamatory, discriminatory, or offensive language. 16.3 Prohibited Review Practices. Users must not: manipulate reviews through fake accounts, collusion, or paid reviews; threaten or extort other Users with negative reviews to obtain refunds, discounts, or benefits; post irrelevant or misleading reviews; pressure others to provide only positive reviews. 16.4 Hububb’s Role. (a) Hububb does not endorse, verify, or guarantee the accuracy of reviews or ratings. They represent the opinions of individual Users only. (b) Hububb may, but is not obligated to, monitor, moderate, or remove reviews that violate these Terms, Applicable Law, or community standards. (c) Hububb’s decision to retain or remove a review shall be final. 16.5 Impact on Visibility. (a) Reviews and ratings may affect a User’s search ranking, visibility, and eligibility for certain features on the Platform. (b) Hububb may impose minimum rating thresholds as part of its Minimum Standards Policies (see Sections 4.8 and 10.10). 16.6 Content License. By posting a review or rating, Users grant Hububb a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, and display the content for Platform operations, marketing, and promotional purposes. 16.7 Survival. Reviews and ratings may remain visible even after a User or Listing is removed from the Platform, to preserve historical accuracy and transparency.

17 Integrations; APIs; Channel Manager

17.1 Third-Party Integrations. (a) The Platform may integrate with third-party services, including but not limited to Online Travel Agencies (OTAs), channel managers, property management systems (PMS), smart locks, IoT devices, payment providers, CRM systems, and identity verification providers (“Third-Party Services”). (b) Hububb provides access to such integrations for convenience only and does not guarantee uninterrupted functionality, compatibility, or availability. (c) Users are solely responsible for maintaining their own accounts and compliance with the terms of any Third-Party Services. 17.2 Channel Manager Functionality. (a) Hububb may provide tools to synchronise Listings, calendars, rates, and availability across Channels. (b) Synchronisation is not guaranteed to be real-time, complete, or error-free. Users remain responsible for monitoring their calendars, preventing double-bookings, and correcting discrepancies. (c) Hububb is not liable for losses, penalties, or disputes arising from failed synchronisation, Channel outages, or User error. 17.3 API Access. (a) Hububb may provide APIs or developer tools to enable integrations. (b) API access is subject to separate terms, usage limits, and technical requirements determined by Hububb. (c) Hububb may suspend, throttle, or revoke API access at any time for security, compliance, technical, or operational reasons. 17.4 Third-Party Terms. (a) Use of Third-Party Services (e.g., Airbnb, Booking.com, Google, Stripe) is subject to those providers’ own terms and conditions, which Users must comply with independently. (b) Hububb is not a party to, and has no responsibility for, the acts, omissions, policies, or contractual obligations of Third-Party Services. 17.5 Data Exchange. (a) Users authorise Hububb to exchange data with Third-Party Services as necessary to enable integrations (e.g., syncing calendars, processing payments, updating Listings). (b) Hububb does not guarantee the accuracy or completeness of data exchanged. (c) Users are responsible for reviewing and verifying all synced information. 17.6 Integration Suspension. Hububb may suspend or disable any integration or Channel connection immediately and without liability if: the Third-Party Service changes its terms, APIs, or pricing; Hububb identifies security, compliance, or technical risks; continued integration is no longer commercially or legally viable. 17.7 Beta & Experimental Integrations. Some integrations may be labelled as beta, experimental, or limited release. Such integrations are provided “as is” with no warranty of reliability, uptime, or support, and may be withdrawn at any time. 17.8 User Indemnity for Channel Breach. Hosts and Agency Hosts agree to indemnify and hold harmless Hububb against any losses, penalties, or claims arising from their breach of a Channel’s terms (e.g., Airbnb/Booking.com penalties, guest refunds, or regulatory fines). 17.9 Security & Access. (a) Users must not misuse, reverse-engineer, or attempt to interfere with Hububb’s APIs, integrations, or Channel manager tools. (b) Hububb may suspend integrations or API access if suspicious, excessive, or unauthorised activity is detected. 17.10 No Warranty. All integrations, APIs, and Channel manager features are provided “as is” and “as available,” without any warranty of uninterrupted service or error-free operation.

18 Term; Suspension; Termination

18.1 Term. These Terms remain in effect until terminated by either the User or Hububb in accordance with this Section. 18.2 User Termination. (a) Users may terminate their Account at any time by following the account closure process on the Platform. (b) Termination does not relieve the User of obligations for Bookings, Provider Services, Fees, damages, or liabilities incurred before termination. 18.3 Hububb Suspension & Restriction. Hububb may, at its discretion, immediately suspend, restrict, or disable access to all or part of the Platform if: the User breaches these Terms or Applicable Law; fraud, misconduct, or illegal activity is suspected; there is a risk to the safety, reputation, or integrity of the Platform; required verification, licensing, or insurance is incomplete or expired; the User has outstanding debts, chargebacks, or unresolved disputes. 18.4 Hububb Termination. Hububb may terminate a User’s Account and this Agreement: (a) with thirty (30) days’ prior notice for any reason; or (b) immediately without notice if the User: commits a material or repeated breach of these Terms; provides false, fraudulent, or misleading information; engages in unlawful or unsafe behaviour; causes reputational or legal risk to Hububb. 18.5 Consequences of Termination. (a) All rights to access or use the Platform cease immediately. (b) All pending Bookings or Provider Services may be cancelled at Hububb’s discretion. (c) Users remain liable for amounts owed, including Fees, damages, refunds, chargebacks, or penalties. (d) Hububb may withhold or offset Payouts to cover outstanding amounts. 18.6 Survival. The following provisions survive termination: Fees, payments, taxes, and indemnities; damage and liability provisions (Sections 8–11); confidentiality, data protection, and intellectual property; dispute resolution and governing law (Sections 21–22); any other clauses intended by their nature to survive termination. 18.7 No Liability for Termination. To the maximum extent permitted by law, Hububb shall not be liable to any User for suspension, restriction, or termination of access to the Platform, provided such action is taken in good faith to protect the Platform, Users, or compliance with Applicable Law. 18.8 Dormant Accounts. (a) Hububb may deactivate or terminate Accounts that have been inactive for twelve (12) consecutive months. (b) Before deactivation, Hububb will attempt to notify the User via their registered email address. (c) Any remaining balances in dormant Accounts may be: refunded to the User (less applicable Fees or charges); or forfeited to Hububb if unclaimed within a reasonable period, subject to Applicable Law.

19 Warranties; Disclaimers; Limitation of Liability

19.1 User Warranties. Each User represents and warrants that: (a) they have full right, power, and authority to enter into and comply with these Terms; (b) their use of the Platform will comply with Applicable Law; (c) all information provided to Hububb is true, accurate, and not misleading; (d) they will not use the Platform for fraudulent, unlawful, or harmful purposes. 19.2 Hububb Disclaimers. (a) The Platform and all services are provided on an “as is” and “as available” basis. (b) Hububb disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement. (c) Hububb does not warrant that: the Platform will be secure, uninterrupted, error-free, or free of viruses; Listings, calendars, availability, or content are accurate or reliable; Guests, Hosts, Agency Hosts, or Service Providers will perform as described or expected; integrations or Third-Party Services will function continuously or without error. 19.3 Assumption of Risk. Users acknowledge and agree that they use the Platform and interact with other Users at their own risk. Hububb does not control or verify Users, properties, or services. 19.4 Exclusion of Certain Damages. To the maximum extent permitted by law, Hububb shall not be liable for any: loss of profits, revenues, business, goodwill, or data; indirect, incidental, consequential, special, punitive, or exemplary damages; personal injury, property damage, or emotional distress arising out of User interactions, Listings, or services. 19.5 Cap on Liability. (a) Hububb’s total aggregate liability arising from or related to these Terms shall not exceed the greater of: the total Fees paid to Hububb by the User in the twelve (12) months preceding the event giving rise to the claim; or one hundred (100) GBP (or equivalent in local currency). (b) This limitation applies regardless of the legal theory (contract, tort, negligence, statute, strict liability, etc.). 19.6 Exceptions. The limitations in this Section do not exclude liability for: death or personal injury caused by Hububb’s gross negligence or wilful misconduct; fraud or fraudulent misrepresentation; any liability that cannot be excluded under Applicable Law. 19.7 Third-Party Responsibility. Users acknowledge that Third-Party Services (including OTAs, PMS systems, and payment processors) are independent from Hububb. Hububb disclaims all liability for their acts, omissions, outages, or errors. 19.8 Force Majeure. Hububb shall not be liable for delays, failures, or losses arising from events beyond its reasonable control, including natural disasters, pandemics, cyberattacks, strikes, or government restrictions. 19.9 Time Limit for Claims To the maximum extent permitted by law, any claim or cause of action by a User arising out of or relating to these Terms, the Platform, or any transaction must be filed within twelve (12) months from the date of the event giving rise to the claim. After this period, the claim shall be permanently barred, regardless of any contrary statutory limitation period.

20 Indemnities

20.1 User Indemnity. Each User agrees to indemnify, defend, and hold harmless Hububb, its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) their breach of these Terms or Applicable Law; (b) their use of the Platform, Listings, or Provider Services; (c) their acts, omissions, or misrepresentations towards other Users, Guests, Hosts, Owners, Service Providers, or third parties; (d) property damage, personal injury, or other harm caused by them or their invitees; (e) their failure to obtain necessary licences, permits, consents, or insurance; (f) taxes, fees, or regulatory obligations arising from their activities; (g) claims by Owners against Agency Hosts relating to lack of authority, misrepresentation, or non-payment; (h) claims by Third-Party Services or Channels arising from their breach of such terms. 20.2 Procedure. (a) Hububb will provide the User with prompt notice of any indemnified claim (where legally permitted). (b) The User must assume control of the defence and settlement of the claim, subject to Hububb’s right to participate with its own counsel. (c) Users may not settle any claim without Hububb’s prior written consent if the settlement: imposes liability on Hububb; requires Hububb to admit fault; or restricts Hububb’s operations. 20.3 Continuing Obligation. User indemnity obligations: (a) survive termination of these Terms; (b) apply to claims arising before or after termination; (c) extend to any successors, assigns, or transferees of the User. 20.4 Hububb Indemnity (Limited). Hububb will indemnify Users only against claims brought by third parties alleging that the Platform software, as provided by Hububb (excluding User Content or Third-Party Services), directly infringes their intellectual property rights, provided that: (a) the User promptly notifies Hububb of the claim; (b) Hububb has sole control of the defence and settlement; (c) the User provides reasonable cooperation. This is the User’s sole and exclusive remedy for such claims. 20.5 Third-Party Proceedings Costs. (a) If Hububb becomes involved in any investigation, inquiry, audit, subpoena, or regulatory proceeding arising out of or relating to a User’s conduct, transactions, or use of the Platform, the User shall reimburse Hububb for all costs, expenses, and professional fees reasonably incurred in connection with such proceeding. (b) This obligation applies regardless of whether the proceeding is ultimately resolved in the User’s favour. (c) Hububb reserves the right to suspend or withhold Payouts pending reimbursement of such costs.

21 Governing Law; Dispute Resolution

21.1 Governing Law. (a) These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of: England & Wales, where the Hububb contracting entity is Hububb Ltd (UK); Dubai International Financial Centre (DIFC), where the contracting entity is Hububb LLC (UAE); the local jurisdiction of the contracting entity as set out in Section 1, for Users in other regions. (b) Conflict of laws principles shall not apply. 21.2 Jurisdiction. (a) Subject to Section 21.3 (Arbitration), the courts of the governing jurisdiction above shall have exclusive jurisdiction over disputes. (b) Users waive any objection to forum or venue on the basis of inconvenience. 21.3 Arbitration. (a) Except where prohibited by Applicable Law, any dispute, claim, or controversy arising out of or relating to these Terms shall be finally resolved by binding arbitration under the rules of: the London Court of International Arbitration (LCIA) for Users contracting with Hububb Ltd (UK); the DIFC-LCIA Arbitration Centre for Users contracting with Hububb LLC (UAE). (b) The language of arbitration shall be English. (c) The arbitral award shall be final and binding, and judgment may be entered in any court of competent jurisdiction. 21.4 Class Actions Waiver. To the maximum extent permitted by law, Users agree not to bring or participate in class, collective, or representative actions against Hububb. Disputes must be brought in an individual capacity only. 21.5 Mediation Option. Before commencing arbitration, parties are encouraged (but not required) to attempt good-faith resolution through mediation facilitated by an independent mediator agreed by both parties. 21.6 Interim Relief. Nothing in this Section prevents Hububb from seeking interim or injunctive relief in any court of competent jurisdiction to protect its rights, reputation, intellectual property, or confidential information. 21.7 Survival. This Section survives termination of these Terms. 21.8 Small Claims Carve-Out Notwithstanding the arbitration requirement in Section 21.3, either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies within that court’s monetary limits. Such proceedings may only be brought on an individual basis and not as part of any collective or representative action.

22 Miscellaneous; General Provisions

22.1 Entire Agreement. These Terms, together with any policies, addenda, or schedules expressly incorporated by reference (including the Privacy Notice, Cancellation Policy, Community Standards, and Minimum Standards Policies), constitute the entire agreement between Users and Hububb, and supersede all prior agreements, representations, or understandings (written or oral) relating to the Platform. 22.2 Amendments. (a) Hububb may amend these Terms, policies, or standards at any time by posting updated versions on the Platform. (b) Unless otherwise stated, amendments take effect immediately upon posting. Continued use of the Platform constitutes acceptance of the updated Terms. (c) If a User does not agree to an amendment, their sole remedy is to stop using the Platform and close their Account. 22.3 Assignment. (a) Users may not assign or transfer their rights or obligations under these Terms without Hububb’s prior written consent. (b) Hububb may assign, transfer, or novate these Terms (in whole or part) to an affiliate, successor, or acquirer without restriction. 22.4 Waiver. Failure or delay by Hububb to enforce any right, remedy, or provision under these Terms shall not constitute a waiver of such right, remedy, or provision. 22.5 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. 22.6 Notices. (a) Hububb may provide notices by email, in-app notifications, or posting on the Platform. (b) Users must provide notices to Hububb by email to the contact address specified in the Platform’s help or legal sections. (c) Notices are deemed received: immediately if delivered through the Platform; 24 hours after email transmission, unless bounced; five (5) business days after postal delivery. 22.7 No Third-Party Rights. These Terms do not confer rights on any person or entity other than Users and Hububb, except where expressly stated (e.g., indemnified parties). 22.8 Language. These Terms are drafted in English. Translations may be provided for convenience only. In the event of conflict, the English version prevails. 22.9 Headings. Headings are for convenience only and do not affect interpretation. 22.10 Survival. Any provision intended by its nature to survive termination (including fees, taxes, indemnities, liability limitations, dispute resolution, and governing law) shall survive termination of these Terms. 22.11 Hierarchy of Terms. In the event of any conflict or inconsistency between: (a) these Terms of Business; (b) any policies, standards, or guidelines published by Hububb (e.g., Privacy Notice, Community Standards, Minimum Standards Policies); and (c) any addenda or supplemental agreements (e.g., Agency Host Addendum, Service Provider Addendum); the order of precedence shall be determined by Hububb in its sole discretion, with the intention of giving effect to the provision most protective of Hububb’s interests, unless otherwise required by Applicable Law.

23 AML / KYC / Sanctions Compliance

23.1 Policy Statement. Hububb operates a risk-based compliance program aligned with Applicable Law on anti-money laundering and counter-terrorist financing (together, “AML/CTF”) and with sanctions/export-control regimes. Use of the Platform is conditional upon your full cooperation with these requirements. 23.2 Key Definitions. (a) Sanctions Authorities: U.N. Security Council, U.S. OFAC, U.K. HMT, E.U. and any other authority with jurisdiction over the User or the transaction. (b) Designated Person: Any person, entity, vessel, sector or territory that is sanctioned, owned/controlled by a sanctioned party, or otherwise prohibited/restricted. (c) PEP: Politically Exposed Person, including close family members and known associates. (d) UBO: Ultimate Beneficial Owner, being the natural person(s) who ultimately owns/controls an entity (as defined by Applicable Law or, if none, at least 25%). (e) EDD: Enhanced Due Diligence performed for higher-risk Users/transactions. (f) Source of Funds/Wealth: The origin of the funds/overall wealth used for a transaction. 23.3 User Obligations. You shall: (i) provide accurate, complete, and current information we request; (ii) promptly update it; (iii) respond to any AML/CTF or sanctions enquiry within the timeframe we specify; (iv) not use the Platform for unlawful purposes; and (v) not knowingly transact with or for a Designated Person. 23.4 Verification (KYC/KYB). (a) Individuals: We may collect government ID, selfie/liveness, date of birth, address, and proof of address. (b) Entities (KYB): We may collect incorporation documents, directors’ and UBO registers, shareholding structure, tax IDs, proof of trading address, and authority of signatories. (c) Agency Hosts: Must provide documented Owner authority (see Section 3.5) and, on request, proof of ownership/landlord consent. (d) Re-verification: We may re-verify at any time (e.g., on profile changes, risk triggers, or periodically). (e) Third-party providers: You authorise us to use external KYC/AML vendors and to make soft checks as permitted by law. 23.5 Screening & Monitoring. (a) We may screen Users and counterparties against sanctions, PEP, and adverse-media datasets on onboarding and continuously thereafter. (b) We may monitor transactions for unusual patterns (e.g., high-value, last-minute, multi-party payments, or rapid refunds). (c) EDD Triggers (non-exhaustive): PEP status, high-risk jurisdictions/sectors, complex ownership, high-value or long-term stays, repeated chargebacks, cash-equivalent behaviour. (d) We may request Source of Funds/Wealth evidence (e.g., payslips, bank statements, sale agreement) and decline transactions that do not satisfy us. 23.6 Prohibited Jurisdictions & Persons. (a) The Platform must not be used by, for, or on behalf of any Designated Person or in/for properties located in comprehensively sanctioned regions or embargoed territories under Applicable Law. (b) Users must not use VPNs, proxies, or other means to circumvent geolocation/sanctions controls. (c) We may block access or cancel transactions where we believe a sanctions risk exists. 23.7 Payments Controls. (a) We may refuse cash, cash-equivalents, cryptoassets, or anonymous instruments. (b) We may restrict third-party payments: the payer should match the booking party unless we approve otherwise. (c) Refunds are, where possible, made only to the original funding method. (d) We may limit split payments or require a single funding source per Booking. (e) See Sections 6.8 and 6.12 regarding reserves and payout freezes. 23.8 Export Controls; Anti-Boycott. Users must comply with applicable export-control, re-export, and anti-boycott laws. You shall not use the Platform to facilitate transactions that would breach such laws or require Hububb to do so. 23.9 Sanctions Evasion. You must not cause, enable, or facilitate sanctions evasion (including by routing funds or bookings through non-sanctioned intermediaries to benefit a Designated Person). 23.10 Regulatory Cooperation; No Tipping-Off. (a) We may share information with competent authorities where legally required or permitted. (b) Users shall not “tip off” any party about potential suspicious-activity reporting or investigations. 23.11 Recordkeeping. We may retain KYC records, transaction logs, and related data for the minimum periods required by law (and longer where reasonably necessary for investigations, tax, or litigation). Users must also keep adequate records for their own compliance purposes. 23.12 Audit & Information Requests. In addition to Section 3.8, we may audit compliance with this Section 23 and request documents at any time (including UBO evidence, licences, insurance, sanctions attestations). Failure to provide them within the stated timeframe may lead to suspension, delisting, or termination. 23.13 Consequences of Non-Compliance. We may, in our sole discretion and without liability: (i) reject or cancel a Booking; (ii) decline or reverse a payment; (iii) freeze or delay Payouts; (iv) apply/extend reserves; (v) suspend or terminate Accounts; and/or (vi) report matters to authorities. Related costs and losses are for the User’s account. 23.14 Indemnity. Without limiting Section 20, Users shall indemnify Hububb against losses, liabilities, penalties, and costs (including professional fees) arising from their breach of this Section 23 or any resulting investigation, subpoena, audit, or enforcement action (see Section 20.5). 23.15 Privacy & Data Minimisation. We will process AML/CTF and sanctions data as described in the Privacy Notice, applying data-minimisation and security controls proportionate to risk and legal obligations. Where legally required, you consent to cross-border transfers subject to appropriate safeguards. 23.16 Survival. This Section 23 survives termination of these Terms for as long as permitted or required by Applicable Law.

24 Export Controls & Regulatory Carve-Outs

24.1 Export Controls & Restricted Use. (a) Users shall comply with all applicable export control, re-export, and trade compliance laws, including those of the United States (Export Administration Regulations), United Kingdom, European Union, United Arab Emirates, and any other jurisdiction with authority. (b) Users shall not use the Platform, directly or indirectly, to: export, re-export, or transfer items (including software, technical data, or services) in violation of Applicable Law; provide access to the Platform to any Designated Person (as defined in Section 23.2) or in embargoed/fully sanctioned territories; circumvent export control restrictions by routing through non-restricted jurisdictions. (c) Hububb may suspend or terminate Accounts and withhold Payouts if export control or trade compliance concerns are identified. 24.2 Technology & Encryption. (a) The Platform may contain encryption, API, or software features subject to export-control restrictions. Users must not download, export, or use such features in violation of Applicable Law. (b) Users are solely responsible for ensuring that their access and use complies with relevant licensing requirements. 24.3 Regulatory Carve-Outs. (a) Hububb is a technology marketplace and facilitator, not: a real estate broker or estate agent; a property manager, landlord, or lessor; a hotel, travel agent, or tour operator; an employer, recruiter, or employment agency; an insurer, financial advisor, or escrow provider. (b) Nothing in these Terms creates, or shall be construed to create, any such relationship unless Hububb expressly agrees in a separate written contract. 24.4 Local Law Compliance. (a) Users are solely responsible for obtaining and maintaining any local licences, permits, or registrations required for their activities (e.g., landlord licences, STR permits, cleaning company trade licences). (b) Hububb disclaims responsibility for a User’s failure to comply with sector-specific regulations in their jurisdiction. 24.5 No Warranties on Regulatory Status. (a) Hububb makes no warranty that use of the Platform satisfies any statutory, licensing, or regulatory requirements applicable to Users. (b) Users must independently determine whether their use of the Platform triggers obligations under real estate, hospitality, employment, consumer protection, or other laws, and comply accordingly. 24.6 Indemnity. Without limiting Section 20, Users shall indemnify Hububb against claims, penalties, fines, or proceedings arising from their failure to comply with export controls, sanctions, or sector-specific licensing requirements. 24.7 Survival. This Section 24 survives termination of these Terms to the maximum extent permitted by Applicable Law.

25 AI Tools; Beta Features; Automation

25.1 AI & Automated Tools Disclaimer. (a) The Platform may include artificial intelligence, machine learning, automated pricing, scheduling, messaging, or recommendation features (together, “AI Tools”). (b) AI Tools are provided for informational and convenience purposes only and do not constitute professional, financial, legal, insurance, tax, or compliance advice. (c) Users remain solely responsible for verifying the accuracy, appropriateness, and legality of any AI Tool outputs before relying on them. 25.2 User Responsibilities. (a) Users must: validate AI-generated recommendations (e.g., pricing, guest communication, maintenance scheduling); ensure compliance with Applicable Law, house rules, and third-party policies; not rely on AI Tools as a substitute for human judgment, due diligence, or independent advice. (b) Hububb disclaims responsibility for any losses, fines, or liabilities arising from reliance on AI Tool outputs. 25.3 Beta & Experimental Features. (a) Hububb may make new features available as beta, experimental, or limited release. (b) Such features may contain errors, be incomplete, or be withdrawn at any time without notice. (c) Users agree to use beta features “as is” and at their own risk. (d) Hububb may collect feedback and usage data from beta features for product improvement, subject to the Privacy Notice. 25.4 Automation & Task Management. (a) The Platform may automate workflows such as: assigning Service Providers, sending guest communications, syncing calendars, scheduling cleanings/maintenance. (b) Hububb does not guarantee that automated workflows will execute without error, duplication, or delay. (c) Users remain responsible for monitoring and validating task completion and guest communications. 25.5 No Guarantees of Availability. AI Tools, automation, and beta features may be modified, suspended, or discontinued at Hububb’s discretion without liability. 25.6 Intellectual Property in AI Outputs. (a) To the extent legally permissible, Hububb owns all rights in AI-generated content produced by the Platform (e.g., auto-generated property descriptions, pricing recommendations, template communications). (b) Hububb grants Users a limited licence to use such content for their own legitimate business purposes via the Platform. (c) Users may not resell, redistribute, or claim ownership of AI-generated content outside the Platform without Hububb’s consent. 25.7 Feedback & Improvements. (a) If Users provide feedback, suggestions, or data relating to AI Tools or beta features, Hububb may freely use such input for development and improvement without obligation or compensation. (b) Users waive any claims to intellectual property rights in such feedback. 25.8 Indemnity. Without limiting Section 20, Users shall indemnify Hububb for losses, claims, or liabilities arising from misuse of AI Tools, reliance on inaccurate outputs, or breach of third-party rights through AI-generated content. 25.9 Survival. This Section 25 survives termination of these Terms.

26 Confidentiality & Data Security

26.1 Confidential Information. (a) “Confidential Information” means any non-public information disclosed by Hububb or another User in connection with the Platform, including but not limited to: business plans, financial data, pricing models, technology, APIs, source code, algorithms, AI models, trade secrets, customer/guest information, owner details, and operational processes. (b) Confidential Information does not include information that: is publicly available without breach; is independently developed without use of Confidential Information; is lawfully received from a third party without duty of confidentiality. 26.2 User Obligations. (a) Users shall: keep Confidential Information strictly confidential; not disclose it to any third party without prior written consent; use it solely for legitimate purposes under these Terms; implement reasonable safeguards (technical, organisational, contractual) to prevent unauthorised access or use. (b) Users must ensure their staff, contractors, or affiliates comply with this Section. 26.3 Hububb’s Confidentiality Obligations. (a) Hububb will keep User information confidential in accordance with its Privacy Notice, subject to legal/regulatory disclosure requirements. (b) Hububb may disclose User information where required by law, court order, subpoena, regulator, or to enforce these Terms. 26.4 Permitted Disclosures. Confidential Information may be disclosed without breach: (a) to affiliates, employees, contractors, and professional advisers who have a strict need-to-know and are bound by confidentiality obligations; (b) where required by Applicable Law, regulatory enquiry, or court order; (c) with the written consent of the disclosing party. 26.5 Data Security. (a) Users must implement and maintain reasonable technical and organisational measures to protect data obtained via the Platform from unauthorised use, disclosure, or breach. (b) Users must promptly notify Hububb of any suspected data breach involving Confidential Information or personal data obtained through the Platform. (c) Hububb may suspend access to the Platform if it believes a User’s practices create security or confidentiality risks. 26.6 Prohibited Uses. Users may not: (a) scrape, mine, reverse-engineer, or attempt to extract data, algorithms, or source code from the Platform; (b) use Confidential Information or Platform data to develop competing products or services; (c) disclose Hububb’s pricing, algorithms, or proprietary methodologies to third parties. 26.7 Return or Destruction. Upon termination of these Terms or on request, Users must promptly return or permanently delete all Confidential Information, except as required to comply with Applicable Law or bona fide recordkeeping obligations. 26.8 Injunctive Relief. Users acknowledge that unauthorised disclosure or misuse of Confidential Information may cause irreparable harm to Hububb, for which monetary damages may be inadequate. Hububb shall be entitled to seek injunctive or equitable relief in addition to any other remedies. 26.9 Survival. Confidentiality and data security obligations survive termination of these Terms for at least five (5) years, or longer if required by law with respect to specific categories of data (e.g., personal data, AML/KYC records).

27 Force Majeure

27.1 Definition. For the purposes of these Terms, a “Force Majeure Event” means any event or circumstance beyond Hububb’s reasonable control that prevents, delays, or materially hinders performance, including but not limited to: acts of God (earthquakes, floods, fires, storms, natural disasters); pandemics, epidemics, or public health emergencies; war, armed conflict, acts of terrorism, civil unrest, strikes, lockouts, or labour disputes; governmental actions, laws, regulations, sanctions, embargoes, or travel restrictions; failure or interruption of utilities, networks, internet, hosting, telecommunications, or third-party service providers; cyberattacks, denial-of-service attacks, ransomware, or other malicious acts; supply chain disruption or scarcity of labour, fuel, or materials. 27.2 Effect on Obligations. (a) Hububb shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by a Force Majeure Event. (b) Time for performance of affected obligations shall be extended for the duration of the Force Majeure Event. 27.3 User Bookings & Services. (a) Hububb may suspend, cancel, or modify Bookings, Provider Services, or Platform features without liability where performance is prevented or impractical due to a Force Majeure Event. (b) Guests may be entitled to refunds or credits under the applicable Cancellation Policy (Schedule D), but Hububb is not liable for losses beyond amounts already collected and held in accordance with Section 6. (c) Hosts, Agency Hosts, and Service Providers acknowledge that Force Majeure Events may relieve them of obligations to perform, subject to any applicable refund rules or owner agreements. 27.4 Notice & Mitigation. (a) The affected party shall notify the other (where feasible) of the Force Majeure Event and use commercially reasonable efforts to mitigate its effects. (b) Hububb may rely on public announcements or official declarations as sufficient evidence of a Force Majeure Event. 27.5 Extended Events. If a Force Majeure Event continues for more than sixty (60) consecutive days: (a) Hububb may terminate affected Bookings, suspend Services, or terminate these Terms (in whole or part) upon notice, without liability; (b) Users remain liable for amounts accrued prior to the Force Majeure Event. 27.6 No Excuse for Payment Obligations. Force Majeure shall not relieve Users of obligations to pay Fees, taxes, damages, or indemnities already accrued under these Terms. 27.7 Survival. This Section survives termination of these Terms.

28 Termination Effects (Data, Migration, Unpaid Balances)

28.1 Outstanding Balances. (a) Termination of an Account does not release the User from any obligations accrued prior to termination, including unpaid Fees, damages, refunds, chargebacks, or indemnities. (b) Hububb may deduct or set off such amounts from any Payouts or balances held, or pursue recovery directly. (c) If a User has a negative balance at termination, Hububb may issue invoices, commence collection procedures, or assign the debt to third-party collectors. 28.2 Security Deposits. Any Security Deposits held at the time of termination may be retained, refunded, or applied against damages or claims in accordance with Section 9 and Schedule F. 28.3 Data & Content. (a) Hububb may retain User data, communications, and content after termination: to comply with legal, tax, AML/CTF, or regulatory obligations; for fraud prevention, dispute resolution, or enforcement of rights; as necessary for Hububb’s legitimate business interests. (b) User Content (e.g., reviews, ratings, or historical listings) may remain visible even after termination, in accordance with Sections 14 and 16. (c) Users acknowledge that permanent deletion of data may not be immediate and is subject to Applicable Law and Hububb’s Privacy Notice. 28.4 Migration of Bookings. (a) If termination occurs while Bookings or Provider Services are pending, Hububb may: cancel such Bookings or Services; reassign them to other Users or providers where feasible; apply applicable Cancellation Policies or penalties. (b) Hububb shall not be liable for losses caused by such migration or cancellation. 28.5 Access to Records. (a) Hububb may, at its discretion, provide Users with access to limited historical data (e.g., invoices, booking summaries) for a reasonable period post-termination. (b) Hububb is not obligated to provide full data exports or system access, and may charge reasonable fees for administrative support. 28.6 Deletion of Credentials. User login credentials and API keys will be disabled upon termination. Users must cease all use of the Platform and related materials immediately. 28.7 Confidentiality & Survival. Confidentiality (Section 26), Indemnities (Section 20), Liability Limits (Section 19), AML/KYC (Section 23), and Governing Law/Dispute Resolution (Section 21) survive termination. 28.8 No Reinstatement. Hububb is under no obligation to reinstate a terminated Account. Any reinstatement is subject to Hububb’s sole discretion, re-verification, and updated Terms.

29 Jurisdiction-Specific Rules

29.1 General. (a) Certain jurisdictions impose mandatory legal rights on consumers, tenants, workers, or contractors that cannot be waived by contract. (b) This Section clarifies how these Terms apply in specific jurisdictions. (c) In the event of conflict between these Terms and Applicable Law, the provision most protective of Hububb’s interests shall apply to the maximum extent permitted, and mandatory laws shall apply only to the minimum extent required. United Kingdom & European Union 29.2 Consumer Rights. (a) If you are a “consumer” under UK or EU law, statutory rights under the Consumer Rights Act 2015 (UK) and EU Consumer Rights Directive apply. These may include cooling-off periods, refund rights, and cancellation rights that override contractual terms. (b) Nothing in these Terms affects your non-waivable consumer rights. 29.3 Short-Term Letting Regulations. (a) Hosts/Agency Hosts are solely responsible for compliance with UK/EU local council, city, or regional STR laws (e.g., London 90-day rule, Barcelona licensing). (b) Hububb disclaims liability for fines, penalties, or enforcement actions arising from non-compliance. 29.4 Data Protection. The UK GDPR and EU GDPR apply. Users must comply with these obligations when processing guest or owner data. Hububb acts as controller or processor only as set out in Section 15. United Arab Emirates / DIFC 29.5 Contracting Entity. Users contracting with Hububb LLC (UAE) are subject to the laws of the Dubai International Financial Centre (DIFC), as set out in Section 21. 29.6 STR Licensing. Hosts/Agency Hosts must obtain permits from Dubai Tourism (DTCM) or relevant emirate-level regulators before listing. Hububb is not liable for penalties or delistings due to unlicensed activity. 29.7 Data Protection. The DIFC Data Protection Law (No. 5 of 2020) applies. Hububb complies as controller/processor per Section 15. Users must comply when handling guest or owner data. United States 29.8 Consumer Rights. Certain state consumer protection laws (e.g., California Civil Code §1789.3, New York STR laws) may apply. Users acknowledge that Hububb is not a landlord, broker, or hotel operator, and remains a technology marketplace. 29.9 STR & Zoning Laws. Hosts/Agency Hosts must comply with state, city, and local STR ordinances (e.g., NYC registration, San Francisco 30-day rule, LA permit caps). Hububb disclaims liability for non-compliance or enforcement actions. 29.10 Tax Obligations. Certain states/cities require collection of occupancy taxes (e.g., hotel, transient occupancy, sales tax). Hububb may collect/remit where legally mandated but otherwise shifts responsibility to Hosts. 29.11 Arbitration & Class Action Waiver. For US Users, arbitration and class action waivers apply under Section 21 to the maximum extent permitted. Users may retain statutory rights under state law where arbitration waivers are not enforceable. Rest of World 29.12 Local Regulations. Hosts/Agency Hosts and Service Providers must comply with all Applicable Law in their jurisdiction, including licensing, zoning, health/safety, labour, and tax rules. Hububb disclaims responsibility for verifying compliance in each jurisdiction. 29.13 Precedence. In case of conflict between these jurisdiction-specific provisions and the general Terms, the provisions of this Section 29 shall prevail to the minimum extent required by Applicable Law.

30 Agency Host Addendum

30.1 Definition. An “Agency Host” is any User that lists a property on the Platform not as the legal owner, but as an agent, broker, or intermediary on behalf of the owner or landlord (the “Owner”). 30.2 Authority to Act. (a) Agency Hosts warrant that they have valid, written authority from the Owner to list, market, and offer the property for short-term rental. (b) Such authority must include: permission for the property to be used as a short-term rental; the right to collect and receive rental payments on behalf of the Owner; the right to bind the Owner to bookings made via the Platform. (c) Agency Hosts must, upon Hububb’s request, provide documentary evidence of such authority within five (5) business days. 30.3 Disclosure to Owners. (a) Agency Hosts must disclose to Owners the role of Hububb as a technology marketplace only (not a property manager, broker, or insurer). (b) Agency Hosts shall not represent or imply that Hububb is directly responsible for managing, maintaining, or insuring the property. 30.4 Compliance with Owner Obligations. (a) Agency Hosts are responsible for ensuring that all Listings comply with the Owner’s contractual obligations (e.g., mortgage, lease, HOA, building rules, insurance requirements). (b) Hububb is not liable for any breach of such obligations. 30.5 Indemnity. Without limiting Section 20, Agency Hosts agree to indemnify and hold harmless Hububb against any claims, demands, damages, losses, costs, or liabilities arising from: (a) Owner disputes alleging lack of authority; (b) breaches of landlord, mortgage, lease, HOA, or insurance restrictions; (c) penalties, fines, or legal proceedings imposed on the Owner due to the Agency Host’s actions; (d) any misrepresentation made to Owners, Guests, or authorities. 30.6 Payment Flow. (a) Payouts related to Agency Host Listings will be made to the Agency Host, unless Hububb agrees otherwise in writing. (b) Hububb has no obligation to pay the Owner directly. (c) Any disputes regarding amounts owed between Agency Host and Owner are solely between those parties. 30.7 Owner Claims. (a) Owners may not bring claims directly against Hububb arising from Agency Host Listings. (b) All such claims must be directed to the Agency Host, who shall handle and resolve them at their own cost. 30.8 Audit & Verification. Hububb reserves the right to audit Agency Hosts for compliance with this Section 30, including requesting copies of: agency agreements; landlord/owner consents; relevant licences or permits. Failure to provide such documents may result in suspension or termination. 30.9 Termination. Hububb may suspend or terminate any Agency Host’s Account or Listings if: (a) Owner authority is not proven; (b) the Agency Host misrepresents their authority; (c) disputes arise indicating lack of proper consent; or (d) continued participation poses reputational or legal risk to Hububb. 30.10 Survival. This Addendum survives termination of these Terms with respect to any Bookings or claims arising from Agency Host Listings.

31 Service Provider Addendum

31.1 Definition. A “Service Provider” is any User offering cleaning, maintenance, key handling, linen, guest experience, or other ancillary services through the Platform (the “Provider Services”). 31.2 Independent Contractor Status. (a) Service Providers act as independent contractors, not employees, workers, or agents of Hububb. (b) Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Hububb and Service Providers. (c) Service Providers are solely responsible for their own staff, wages, benefits, taxes, and compliance with labour laws. 31.3 Licensing & Compliance. (a) Service Providers must obtain and maintain all required licences, trade permits, and registrations to perform their services. (b) Service Providers are responsible for compliance with all local labour, health, safety, and environmental laws. (c) Hububb is not liable for any failure of Service Providers to comply with such obligations. 31.4 Insurance. (a) Service Providers must maintain appropriate insurance for their activities, including: public liability insurance covering personal injury and property damage; employer’s liability insurance (where staff are employed); any other coverage required by law or Hububb’s minimum standards. (b) Proof of insurance must be provided to Hububb upon request. 31.5 Performance Standards. (a) Service Providers must meet Hububb’s Minimum Standards Policies (e.g., reliability, timeliness, professionalism, customer service). (b) Hububb may monitor reviews, ratings, and complaint levels, and suspend or terminate Service Providers who do not meet required standards. 31.6 Payment & Fees. (a) Payments for Provider Services are processed through Hububb in accordance with Section 6. (b) Hububb may charge Service Providers platform fees, commissions, or subscription fees as published on the Platform. (c) Service Providers are not entitled to additional compensation from Hububb beyond agreed Payouts. 31.7 No Guarantee of Volume. (a) Hububb makes no warranty regarding the number, frequency, or value of Provider Service bookings. (b) Service Providers acknowledge that demand may fluctuate and that Hububb has no obligation to supply a minimum volume of work. 31.8 Guest & Host Relationship. (a) Contracts for Provider Services are strictly between the Service Provider and the Host/Agency Host/Guest engaging them. (b) Hububb is not a party to such contracts and is not liable for acts, omissions, errors, or defaults of Service Providers. 31.9 Indemnity. Service Providers shall indemnify and hold harmless Hububb from any claims, damages, or liabilities arising out of: (a) injury to persons or damage to property caused by Provider Services; (b) failure to obtain licences, permits, or insurance; (c) disputes with Hosts, Guests, or Agency Hosts; (d) employment claims from their staff or subcontractors. 31.10 Audit & Verification. Hububb may audit Service Providers for compliance with this Section 31 and request supporting documentation (e.g., licences, insurance, staff contracts). Failure to comply may result in suspension or termination. 31.11 Termination. Hububb may suspend or terminate any Service Provider’s access if: (a) they fail to meet minimum standards; (b) their services generate repeated complaints; (c) their continued participation poses reputational or legal risk to Hububb. 31.12 Survival. This Addendum survives termination of these Terms with respect to any claims arising from Provider Services performed before termination.

32 Channel Bookings Addendum

32.1 Definition. A “Channel Booking” is a Booking made through a third-party Online Travel Agency (OTA) or marketplace (e.g., Airbnb, Booking.com, Vrbo) that is synchronised with or routed via the Platform. 32.2 OTA Terms Prevail. (a) Channel Bookings are subject to the OTA’s own terms and conditions, which govern the guest relationship. (b) In the event of conflict between these Terms and the OTA’s terms, the OTA’s terms shall prevail as between the Guest and Host/Agency Host, except with respect to Hububb’s role as a limited payment collection agent. 32.3 Host Responsibilities. (a) Hosts/Agency Hosts remain solely responsible for: compliance with OTA rules, cancellation policies, and service standards; avoiding double-bookings by maintaining accurate calendars; payment of OTA fees and commissions; responding to OTA communications and guest enquiries in line with OTA rules. (b) Hububb is not liable for OTA penalties, fines, or account suspensions arising from Host/Agency Host conduct. 32.4 Payouts. (a) Payouts for Channel Bookings are subject to the OTA’s payout schedule and processing times. (b) Hububb may delay releasing funds until the OTA remits payment. (c) Hububb is not liable for delays, shortfalls, or chargebacks caused by OTAs. (d) Airbnb Direct Connections. For Airbnb Channel Bookings where the Host or Agency Host has connected their own Airbnb account to the Platform: Airbnb will remit payouts directly to the Host/Agency Host in accordance with their Airbnb account settings; Hububb does not collect or control such payouts, and has no responsibility for delays, errors, deductions, or failures by Airbnb; Hosts/Agency Hosts are solely responsible for maintaining accurate Airbnb payout settings, bank details, and tax information. 32.5 Dispute Resolution. (a) Guest disputes relating to Channel Bookings must be resolved in accordance with the OTA’s dispute resolution procedures. (b) Hububb may assist in coordination but has no obligation to mediate or resolve OTA disputes. (c) Hosts/Agency Hosts indemnify Hububb for any claims or penalties imposed by an OTA due to their breach. 32.6 Cancellations & Refunds. (a) OTA cancellation and refund policies govern Channel Bookings. (b) Hububb may be required to process refunds at the OTA’s instruction, even if they differ from Hububb’s own cancellation policies. (c) Hosts/Agency Hosts are bound by the OTA’s rules regarding refunds, penalties, and rebooking. 32.7 Data Synchronisation. (a) Hububb may synchronise calendar, rate, and availability data with OTAs but does not guarantee accuracy or real-time updates. (b) Hosts/Agency Hosts remain responsible for monitoring and correcting errors. 32.8 Account Integrity. (a) Hosts/Agency Hosts must not circumvent OTA terms by diverting Channel Bookings off-platform. (b) Hububb may suspend Accounts where it believes OTA circumvention has occurred. 32.9 Indemnity. Without limiting Section 20, Hosts/Agency Hosts indemnify Hububb for losses, costs, or liabilities arising from: (a) their breach of OTA terms; (b) OTA penalties, chargebacks, or refund obligations; (c) guest claims relating to Channel Bookings. 32.10 Survival. This Addendum survives termination of these Terms with respect to any Channel Bookings created before termination.

33 Cancellation Policy Schedule

33.1 General. (a) Every Listing must be assigned one of Hububb’s standard cancellation policies (Flexible, Moderate, or Strict). (b) The selected policy applies to Guests at the time of Booking and is incorporated into the Booking Contract. (c) Hububb may introduce additional cancellation policies (e.g., Super Strict, Non-Refundable, Long-Term Stay) at its discretion. (d) Hububb may override cancellation policies in cases of Extenuating Circumstances (see Section 8.5). 33.2  Flexible Policy Full refund for cancellations made up to 24 hours before check-in. First night non-refundable if cancelled less than 24 hours before check-in. Early departures after check-in: unused nights refunded. 33.3  Moderate Policy Full refund for cancellations made at least 5 days before check-in. 50% refund for cancellations made between 5 days and 24 hours before check-in. No refund if cancelled within 24 hours of check-in. Early departures after check-in: no refund of unused nights. 33.4  Strict Policy 50% refund for cancellations made at least 7 days before check-in. No refund for cancellations made within 7 days of check-in. Early departures after check-in: no refund of unused nights. 33.5 Non-Refundable Rates. (a) Hosts may offer lower “non-refundable” rates where Guests receive no refund once the Booking is confirmed. (b) Such rates must be clearly disclosed to Guests at the time of Booking. 33.6 Long-Term Stay Bookings (28+ nights). (a) First 30 nights are non-refundable once the Booking is confirmed. (b) After check-in, Guests may terminate with at least 30 days’ written notice, with unused nights refunded beyond that period. 33.7 Cancellation Fees & Deductions. (a) Refunds may be reduced by applicable service fees, payment processing charges, or third-party costs. (b) Hububb may withhold refunds until funds are cleared from the Host/Agency Host or relevant Channel. 33.8 Host Cancellations. (a) If a Host/Agency Host cancels a confirmed Booking: the Guest will receive a full refund; Hububb may impose penalties on the Host (e.g., cancellation fees, suspension, reduced ranking). (b) Repeated Host cancellations may result in suspension or termination. 33.9 Extenuating Circumstances. Hububb may, at its sole discretion, override the selected cancellation policy to provide refunds or credits where Guests are prevented from travel or Hosts from performance due to unforeseen events (e.g., pandemics, government restrictions, natural disasters, serious illness). 33.10 Indemnity. (a) Hosts and Agency Hosts shall indemnify and hold harmless Hububb from and against any losses, chargebacks, penalties, refund obligations, or costs arising from cancellations, refunds, or disputes under this Section 33. (b) For Channel Bookings, Hosts and Agency Hosts acknowledge that cancellation, refund, and penalty rules are governed by the relevant OTA’s policies (e.g., Airbnb, Booking.com, Vrbo), which may differ from Hububb’s policies. Hosts and Agency Hosts agree to indemnify Hububb for any claims, deductions, penalties, chargebacks, or liabilities imposed by an OTA, and for any Guest claims arising from those OTA policies. (c) Hububb is not responsible for reconciling differences between Hububb’s cancellation policies and OTA cancellation policies; the OTA’s rules prevail for Channel Bookings. 33.11 Survival. This Section survives termination of these Terms with respect to Bookings made prior to termination.

34 Damage & Cleaning Fee Guidelines

34.1 General. (a) Guests are liable for any damage, loss, or excessive cleaning required beyond normal wear and tear. (b) Hosts/Agency Hosts must document and submit claims in accordance with this Section and Schedule F (Damage & Cleaning Procedures). (c) Hububb acts solely as a facilitator of claims and payments, not as an insurer or guarantor. 34.2 Normal Wear & Tear. The following do not constitute Guest damage: (a) minor scuff marks on walls/floors; (b) normal wear of bedding, towels, or linens; (c) light cleaning after normal occupancy. 34.3 Chargeable Damage or Cleaning. The following may be claimed against Guests: (a) broken or missing items (furniture, appliances, fixtures, décor); (b) stains, burns, or marks on carpets, upholstery, or walls; (c) lost keys, fobs, or access cards; (d) smoking in non-smoking properties; (e) pet-related damage where pets are not authorised; (f) excessive rubbish, soiling, or biohazards requiring specialist cleaning. 34.4 Evidence Requirements. (a) Hosts/Agency Hosts must submit: timestamped photos or videos of the damage/condition; receipts, invoices, or repair/replacement estimates; cleaning company invoices where applicable. (b) Claims must be submitted within 72 hours of check-out unless otherwise required by Applicable Law. 34.5 Security Deposits. (a) Claims may be deducted from Security Deposits in accordance with Section 9. (b) Where the Security Deposit is insufficient, Hosts may pursue the Guest directly for additional amounts. 34.6 Dispute Resolution. (a) Hububb may provide a dispute-resolution channel but is not obligated to mediate or adjudicate. (b) If Guests and Hosts cannot agree, the dispute must be resolved directly between them or through competent legal channels. (c) Hububb’s decision to process or decline a claim is final as between Hububb and the Users. 34.7 Cleaning Fees. (a) Hosts may set a reasonable, disclosed “cleaning fee” as part of the Listing. (b) Cleaning fees must reflect actual, ordinary post-stay cleaning and not serve as a penalty or hidden charge. (c) Excessive cleaning outside the scope of the disclosed cleaning fee may be claimed only if supported by evidence under Section 34.4. 34.8 OTAs / Channel Bookings. (a) For Channel Bookings (Airbnb, Booking.com, Vrbo), the OTA’s damage deposit, cleaning fee, and claims policies shall apply. (b) Hububb has no control over OTA determinations or payouts. (c) Hosts/Agency Hosts indemnify Hububb against any shortfalls, penalties, or Guest claims arising from OTA-managed damage or cleaning disputes. 34.9 Indemnity. Without limiting Section 20, Users shall indemnify Hububb for losses, costs, or liabilities arising from damage or cleaning disputes, including claims by Guests, Hosts, or OTAs. 34.10 No Insurance or Guarantee. (a) Hububb is not an insurer and does not provide property protection, damage guarantees, or cleaning coverage. (b) Any optional protection program offered by Hububb (e.g., Section 9.9) is subject to separate terms and is not a substitute for Host insurance. 34.11 Survival. This Section survives termination of these Terms with respect to any claims arising from Bookings completed before termination.

35 VAT / Self-Billing Schedule

35.1 User Responsibility for Taxes. (a) Hosts, Agency Hosts, and Service Providers are solely responsible for assessing, collecting, reporting, and remitting all applicable taxes arising from their use of the Platform, including but not limited to: value added tax (VAT), goods and services tax (GST), sales tax; occupancy, tourist, or transient accommodation taxes; income, corporate, or payroll taxes. (b) Hububb does not provide tax advice. Users must seek their own professional guidance. 35.2 Hububb Platform Fees. (a) Hububb’s service or platform fees may be subject to VAT/GST or other transaction taxes. (b) Such taxes shall be added to the applicable fees and collected by Hububb, where legally required. (c) Hububb will issue valid tax invoices for its own fees in accordance with Applicable Law. 35.3 Self-Billing Authorisation. (a) By accepting these Terms, Hosts, Agency Hosts, and Service Providers authorise Hububb to issue invoices or self-billed invoices in their name and on their behalf for the supply of accommodation or services made via the Platform. (b) Self-billed invoices shall be deemed valid as if issued by the User directly. (c) Users agree not to issue separate invoices for the same transaction. (d) Users must provide and maintain accurate tax registration details (e.g., VAT/GST ID) and notify Hububb of any changes. 35.4 Withholding & Reverse Charge. (a) Hububb may withhold amounts from Payouts where required by Applicable Law (e.g., withholding tax, cross-border tax obligations). (b) Where services are supplied cross-border, reverse charge mechanisms may apply; Users are responsible for accounting for such taxes. (c) Hububb shall not be liable for any penalties or interest resulting from a User’s failure to apply reverse charge or withholding rules correctly. 35.5 Occupancy & Tourist Taxes. (a) In certain jurisdictions, Hububb may be legally required to collect and remit occupancy or tourist taxes on behalf of Hosts. (b) Where Hububb does so, Hosts agree that Hububb’s determination of amounts collected and remitted is final. (c) Where Hububb is not required, Hosts remain fully responsible for such taxes. 35.6 User Records. Users must maintain accurate records of all transactions facilitated through the Platform and provide copies to tax authorities or Hububb on request. 35.7 Indemnity. Without limiting Section 20, Users shall indemnify Hububb against all liabilities, claims, penalties, interest, or costs arising from: (a) their failure to correctly calculate, report, or remit taxes; (b) inaccuracies in tax registration details provided to Hububb; (c) issuing duplicate or conflicting invoices. 35.8 Audit & Verification. Hububb may request evidence of Users’ tax registrations, filings, or compliance. Failure to provide may result in suspension or withholding of Payouts. 35.9 Survival. This Section 35 survives termination of these Terms for as long as tax authorities may raise assessments or audits under Applicable Law.

36 Community Standards

36.1 Purpose. Hububb is built on trust, safety, and respect. These Community Standards apply to all Users — Hosts, Agency Hosts, Guests, and Service Providers — and are intended to ensure safe, fair, and respectful use of the Platform. 36.2 Respect & Non-Discrimination. (a) Users must treat others with dignity and respect, free from discrimination or harassment on the basis of race, religion, nationality, gender, sexual orientation, disability, or any other protected status. (b) Harassment, threats, abuse, hate speech, or exploitation of vulnerable persons will not be tolerated. 36.3 Safety & Security. (a) Users must not create unsafe, hazardous, or unlawful conditions for others. (b) Hosts must ensure properties are safe, secure, and compliant with health and safety standards. (c) Service Providers must follow safe working practices. (d) Guests must not endanger Hosts, Providers, or neighbours (e.g., parties, unauthorised guests, or criminal activity). 36.4 Honesty & Transparency. (a) Users must provide accurate information in their Listings, profiles, reviews, and communications. (b) False, misleading, or deceptive conduct is prohibited. (c) Reviews must reflect genuine experiences and not be manipulated for personal or commercial advantage. 36.5 Integrity of the Platform. (a) Users must not attempt to bypass Hububb systems, including off-platform bookings or payments. (b) Users must not misuse the Platform to conduct fraudulent activity, money laundering, scams, or prohibited transactions. (c) Users must not scrape, hack, or interfere with the operation of the Platform. 36.6 Property & Neighbourhood Respect. (a) Guests must respect the property, house rules, and neighbours. (b) Excessive noise, nuisance, or illegal activity is prohibited. (c) Hosts must address legitimate neighbour or community complaints in good faith. 36.7 Zero Tolerance Conduct. Hububb reserves the right to immediately suspend or terminate Users for: (a) violence or threats of violence; (b) sexual misconduct or exploitation; (c) fraud, scams, or identity theft; (d) hate speech or harassment; (e) repeated serious breaches of these Standards. 36.8 Investigations & Enforcement. (a) Hububb may investigate suspected breaches of these Community Standards. (b) Hububb may request evidence, statements, or cooperation from Users. (c) Hububb may take any action it deems appropriate, including warnings, suspension, removal of content, cancellation of Bookings, withholding of Payouts, or permanent termination. 36.9 Indemnity. Without limiting Section 20, Users shall indemnify Hububb for any claims, liabilities, or reputational harm arising from their breach of these Community Standards. 36.10 Updates. Hububb may update these Community Standards from time to time to reflect evolving expectations, laws, or industry practices. 36.11 Survival. This Section survives termination of these Terms with respect to any behaviour occurring prior to termination.

Schedule A — Agency Host Addendum

A1. Definition. An “Agency Host” is any User that lists a property on the Platform not as the legal owner, but as an agent, broker, or intermediary on behalf of the property’s owner or landlord (the “Owner”). A2. Authority to Act. (a) Agency Hosts warrant and represent that they have valid, written authority from the Owner to: (i) list and market the property as a short-term rental; (ii) bind the Owner to Bookings made through the Platform; and (iii) collect rental payments on the Owner’s behalf. (b) Agency Hosts must, on Hububb’s request, provide documentary evidence of such authority within five (5) business days. A3. Disclosure to Owners. (a) Agency Hosts must clearly disclose to Owners that Hububb acts only as a technology marketplace and is not a property manager, landlord, insurer, or broker. (b) Agency Hosts shall not misrepresent Hububb’s role or imply that Hububb is responsible for property management or guest relations. A4. Compliance with Owner Obligations. (a) Agency Hosts are solely responsible for ensuring that Listings comply with the Owner’s obligations, including mortgage terms, leases, condominium or HOA rules, and insurance requirements. (b) Hububb is not responsible for any breach of these obligations. A5. Payment Flow. (a) Unless Hububb expressly agrees otherwise, Payouts for Agency Host Listings will be made to the Agency Host. (b) Hububb has no obligation to remit Payouts directly to the Owner. (c) Any disputes regarding amounts owed between Agency Host and Owner must be resolved solely between those parties. A6. Owner Claims. (a) Owners shall not bring claims directly against Hububb relating to Agency Host Listings. (b) Any Owner claims must be directed exclusively to the Agency Host. A7. Indemnity. Agency Hosts shall indemnify and hold harmless Hububb against any claims, losses, damages, penalties, fines, or liabilities arising from: (i) allegations of lack of authority to act for the Owner; (ii) breaches of leases, mortgages, HOA/condo rules, or insurance requirements; (iii) penalties or enforcement actions imposed by authorities against the Owner; (iv) misrepresentations made by the Agency Host to Owners, Guests, or authorities. A8. Audit & Verification. Hububb reserves the right to audit Agency Hosts’ compliance with this Schedule, including requesting: agency or management agreements; landlord or Owner consents; relevant licences, permits, or registrations. Failure to provide satisfactory evidence may result in suspension or termination. A9. Termination. Hububb may suspend or terminate an Agency Host’s access or Listings if: (i) Owner authority is not proven; (ii) the Agency Host misrepresents their authority; (iii) disputes indicate lack of proper consent; or (iv) continued participation poses legal or reputational risk. A10. Survival. This Schedule survives termination of the Terms with respect to any Bookings, disputes, or claims arising from Agency Host Listings.

Schedule B — Service Provider Addendum

B1. Definition. A “Service Provider” is any User that offers cleaning, maintenance, linen, key exchange, guest experience, or other ancillary services via the Platform (the “Provider Services”). B2. Independent Contractor Status. (a) Service Providers act as independent contractors, not employees, workers, or agents of Hububb. (b) Nothing in these Terms or this Schedule creates an employment, partnership, joint venture, or agency relationship. (c) Service Providers are solely responsible for their own staff, subcontractors, payroll, taxes, and benefits. B3. Licensing & Compliance. (a) Service Providers must obtain and maintain all necessary licences, trade permits, and registrations to perform Provider Services. (b) Service Providers are solely responsible for compliance with local labour, safety, environmental, and consumer protection laws. (c) Hububb is not liable for non-compliance by Service Providers. B4. Insurance. (a) Service Providers must maintain adequate insurance appropriate to their activities, including: public liability insurance (covering bodily injury and property damage); employer’s liability insurance (if staff are employed); any additional cover required by Applicable Law. (b) Proof of insurance must be provided to Hububb on request. B5. Performance Standards. (a) Service Providers must meet Hububb’s Minimum Standards Policy, including punctuality, professionalism, safety, and customer service. (b) Hububb may monitor reviews, ratings, and complaint levels. (c) Hububb may suspend or terminate Service Providers who consistently fail to meet standards. B6. Payment & Fees. (a) Payments for Provider Services are processed via Hububb in accordance with Section 6 (Payments). (b) Hububb may deduct platform fees, commissions, or subscriptions as published. (c) Service Providers are not entitled to additional compensation beyond agreed Payouts. B7. No Guarantee of Work. Hububb makes no promise or guarantee of a minimum number, frequency, or value of bookings for Provider Services. Demand may fluctuate. B8. Relationship with Hosts/Guests. (a) Contracts for Provider Services are strictly between the Service Provider and the Host/Agency Host/Guest engaging them. (b) Hububb is not a party to such contracts and is not liable for acts, omissions, or performance of Service Providers. B9. Indemnity. Service Providers shall indemnify and hold harmless Hububb against any claims, damages, penalties, or liabilities arising from: (i) injury, illness, or damage caused by Provider Services; (ii) failure to hold valid licences or insurance; (iii) disputes with Hosts, Guests, or Agency Hosts; (iv) employment or labour claims by staff or subcontractors. B10. Audit & Verification. Hububb may request evidence of licensing, insurance, or compliance. Failure to provide may result in suspension or termination. B11. Termination. Hububb may suspend or terminate Service Provider access if: (i) minimum standards are not met; (ii) repeated complaints are received; (iii) reputational or legal risks arise. B12. Survival. This Schedule survives termination of the Terms with respect to any Provider Services performed prior to termination.

Schedule C — Channel Bookings Addendum

C1. Definition. A “Channel Booking” is a Booking imported from or made through a third-party Online Travel Agency (OTA) or marketplace (e.g., Airbnb, Booking.com, Vrbo) that is synchronised with, or routed via, the Platform. C2. OTA Terms Prevail. (a) Channel Bookings are subject to the OTA’s own terms and conditions, which govern the Guest–Host relationship. (b) If there is a conflict between these Terms and an OTA’s terms, the OTA’s terms control as between Host/Agency Host and Guest, except for Hububb’s role as a limited payment collection agent where applicable. C3. Host Responsibilities. (a) Hosts/Agency Hosts remain solely responsible for: compliance with OTA rules, standards, and cancellation policies; preventing double-bookings via accurate calendar management; paying OTA fees and commissions; responding to OTA messages and guest communications in line with OTA requirements. (b) Hububb is not liable for penalties, fines, or suspensions imposed by OTAs. C4. Payouts. (a) For most OTAs (e.g., Booking.com, Vrbo), payouts are routed through Hububb, subject to the OTA’s remittance schedule. (b) For Airbnb direct connections where Hosts link their own Airbnb account, payouts are remitted directly to the Host by Airbnb in accordance with the Host’s account settings. Hububb does not collect or control these payouts and bears no liability for errors, delays, or shortfalls. (c) Hosts/Agency Hosts are responsible for maintaining accurate OTA payout settings, bank details, and tax information. C5. Cancellations & Refunds. (a) OTA cancellation/refund policies apply to Channel Bookings. (b) Hububb may be required to process refunds as instructed by an OTA, even if different from Hububb’s own policies. (c) Hosts/Agency Hosts indemnify Hububb for all OTA-directed refunds, penalties, and chargebacks. C6. Dispute Resolution. (a) Guest disputes relating to Channel Bookings must be resolved under the OTA’s procedures. (b) Hububb may assist with coordination but is not obligated to mediate or resolve OTA disputes. (c) Hosts/Agency Hosts indemnify Hububb for any OTA-related claims, penalties, or liabilities. C7. Data Synchronisation. (a) Hububb may synchronise rates, calendars, and availability with OTAs but does not guarantee accuracy or real-time updates. (b) Hosts/Agency Hosts remain responsible for checking and correcting errors. C8. Anti-Circumvention. (a) Hosts/Agency Hosts must not use Hububb to advertise properties and then divert OTA guests off-platform to avoid OTA fees. (b) Hububb may suspend Accounts if it believes OTA circumvention has occurred. C9. Indemnity. Hosts/Agency Hosts shall indemnify and hold harmless Hububb from any OTA-related claims, deductions, penalties, or liabilities arising from their conduct, including cancellations, refunds, or breach of OTA rules. C10. Survival. This Schedule survives termination of the Terms for all Channel Bookings created prior to termination.

Schedule D — Cancellation Policy Schedule

D1. General. (a) Every Listing must select one of Hububb’s standard cancellation policies (Flexible, Moderate, Strict, or other policies introduced by Hububb). (b) The selected policy applies to Guests at the time of Booking and forms part of the Booking Contract. (c) Hububb may override policies in cases of Extenuating Circumstances (see Section 8.5). (d) For Channel Bookings, the OTA’s cancellation and refund rules apply, and Hosts indemnify Hububb against OTA-driven refunds, chargebacks, or penalties. D2. Flexible Policy. Full refund for cancellations up to 24 hours before check-in. First night non-refundable if cancelled within 24 hours of check-in. Early departures after check-in: unused nights refunded. D3. Moderate Policy. Full refund for cancellations made at least 5 days before check-in. 50% refund for cancellations between 5 days and 24 hours before check-in. No refund if cancelled within 24 hours of check-in. Early departures: no refund of unused nights. D4. Strict Policy. 50% refund for cancellations at least 7 days before check-in. No refund if cancelled within 7 days of check-in. Early departures: no refund of unused nights. D5. Non-Refundable Rates. (a) Hosts may offer discounted “non-refundable” rates where Guests receive no refund once confirmed. (b) Such rates must be clearly disclosed at the time of Booking. D6. Long-Term Stay Bookings (28+ nights). (a) First 30 nights are non-refundable once the Booking is confirmed. (b) After check-in, Guests may terminate with at least 30 days’ written notice; unused nights beyond that period are refundable. D7. Cancellation Fees & Deductions. (a) Refunds may be reduced by service fees, payment processing charges, or third-party costs. (b) Hububb may withhold refunds until funds are cleared from Hosts/OTAs. D8. Host Cancellations. (a) If a Host/Agency Host cancels a confirmed Booking: Guests receive a full refund; Hububb may impose penalties (fees, reduced ranking, suspension). (b) Repeated Host cancellations may result in account termination. D9. Extenuating Circumstances. Hububb may override the selected policy to provide refunds or credits where performance is prevented due to major unforeseen events (pandemics, natural disasters, government bans, serious illness). D10. Indemnity. (a) Hosts/Agency Hosts indemnify Hububb against all liabilities, penalties, chargebacks, or costs arising from cancellations, refunds, or disputes. (b) For Channel Bookings, OTA cancellation and refund rules apply. Hosts/Agency Hosts indemnify Hububb for any claims, deductions, or penalties imposed by an OTA due to cancellation or refund obligations. D11. Survival. This Schedule survives termination of these Terms with respect to Bookings made before termination.

Schedule E — Damage & Cleaning Fee Guidelines

E1. General. (a) Guests are responsible for leaving the property in the condition they found it, subject to ordinary wear and tear. (b) Hosts/Agency Hosts may claim compensation for damage, missing items, or excessive cleaning required beyond normal use. (c) Hububb is not an insurer or guarantor and acts only as a facilitator of claims under this Schedule. E2. Normal Wear & Tear. The following are considered ordinary wear and tear and are not chargeable to Guests: Minor scuff marks on floors or walls; Light wear of furniture, bedding, towels, or linens; Routine post-stay cleaning such as vacuuming, dusting, and laundering. E3. Chargeable Damage. The following may be claimed against Guests: Broken, lost, or stolen items (furniture, fixtures, décor, appliances); Stains, burns, or damage to carpets, upholstery, walls, or flooring; Lost keys, access cards, or lockouts requiring replacement/reprogramming; Smoking in non-smoking properties; Pet damage (where pets were unauthorised); Excessive rubbish, soiling, or biohazards requiring professional cleaning. E4. Cleaning Fees. (a) Hosts may set a reasonable, disclosed “cleaning fee” included in the Booking price. (b) Cleaning fees must reflect the cost of standard post-stay cleaning, not penalties. (c) Any additional cleaning outside the disclosed cleaning fee (e.g., specialist deep cleaning) must be claimed separately under this Schedule with evidence. E5. Evidence Requirements. (a) Hosts/Agency Hosts must submit claims with: Timestamped photos or videos of the damage or condition; Receipts, invoices, or professional repair/replacement estimates; Cleaning company invoices (if applicable). (b) Claims must be submitted within 72 hours of Guest check-out, unless otherwise required by Applicable Law. E6. Security Deposits. (a) Claims may be deducted from Security Deposits under Section 9. (b) Where the Security Deposit is insufficient, Hosts may pursue Guests directly. E7. Dispute Handling. (a) Hububb may provide a platform-based resolution process but is not obligated to adjudicate claims. (b) If no agreement is reached, the matter must be resolved directly between Host and Guest or through legal action. (c) Hububb’s decision to facilitate or decline a claim is final as between Hububb and the Users. E8. Channel Bookings. (a) For Channel Bookings (e.g., Airbnb, Booking.com, Vrbo), the OTA’s damage and cleaning fee policies apply. (b) Hububb has no control over OTA determinations, refunds, or payouts. (c) Hosts/Agency Hosts indemnify Hububb against OTA-related claims, shortfalls, or disputes. E9. Indemnity. Hosts, Agency Hosts, and Guests shall indemnify Hububb for any claims, liabilities, penalties, or costs arising out of damage, cleaning, or related disputes. E10. No Insurance or Guarantee. (a) Hububb does not provide insurance, guarantees, or coverage for damages or cleaning. (b) Any optional protection programs (e.g., Host Protection or Damage Protection schemes) are subject to separate terms and are not a substitute for Host insurance. E11. Survival. This Schedule survives termination of these Terms for all Bookings made before termination.

Schedule F — VAT / Self-Billing Schedule

F1. User Responsibility for Taxes. (a) Hosts, Agency Hosts, and Service Providers are solely responsible for assessing, collecting, reporting, and remitting all applicable taxes arising from their activities on the Platform, including but not limited to: Value Added Tax (VAT), Goods and Services Tax (GST), Sales Tax; Occupancy, tourist, or transient accommodation taxes; Income, corporate, or payroll taxes. (b) Hububb does not provide tax or accounting advice. Users must obtain independent professional advice regarding their obligations. F2. Hububb Fees. (a) Hububb’s service or platform fees may themselves be subject to VAT/GST or other transaction taxes. (b) Such taxes will be added to Hububb’s fees and collected where legally required. (c) Hububb will issue valid tax invoices for its own fees in compliance with Applicable Law. F3. Self-Billing Authorisation. (a) By agreeing to these Terms, Users authorise Hububb to issue invoices or self-billed invoices in their name and on their behalf for supplies of accommodation or services made via the Platform. (b) Self-billed invoices shall be treated as if issued by the User directly. (c) Users agree not to issue duplicate invoices for the same transaction. (d) Users must provide valid and up-to-date tax registration details (e.g., VAT/GST ID) and promptly notify Hububb of changes. F4. Withholding & Reverse Charge. (a) Hububb may withhold amounts from Payouts where required by Applicable Law (e.g., withholding tax, cross-border withholding). (b) In cross-border transactions, reverse charge mechanisms may apply. Users are responsible for applying and accounting for reverse charge VAT/GST. (c) Hububb is not liable for penalties, fines, or interest resulting from a User’s failure to apply reverse charge or withholding rules correctly. F5. Occupancy & Tourist Taxes. (a) In jurisdictions where Hububb is legally required to collect and remit occupancy, tourist, or transient accommodation taxes, Hububb may do so. (b) Where Hububb collects such taxes, the amounts remitted shall be final and sufficient to discharge Host/Agency Host obligations for the relevant transaction. (c) Where Hububb is not required to collect, Hosts/Agency Hosts remain fully responsible. F6. Records & Audit. (a) Users must maintain complete and accurate records of transactions conducted through the Platform. (b) Hububb may request copies of tax registration certificates, filings, or returns to verify compliance. (c) Failure to provide such documentation may result in suspension of Payouts or termination of Accounts. F7. Indemnity. Users shall indemnify and hold harmless Hububb from and against all liabilities, penalties, interest, claims, or costs arising from: their failure to properly calculate, report, or remit taxes; inaccuracies in tax registration details supplied; issuing conflicting or duplicate invoices. F8. Survival. This Schedule survives termination of these Terms for as long as tax authorities may raise assessments or audits in respect of transactions facilitated via the Platform.

Schedule G — Community Standards

G1. Purpose. Hububb is built on trust, safety, and respect. These Community Standards apply to all Users — Hosts, Agency Hosts, Guests, and Service Providers — to ensure safe, fair, and respectful use of the Platform. G2. Respect & Non-Discrimination. (a) Users must treat others with dignity and respect. (b) Discrimination or harassment on the basis of race, religion, nationality, gender, sexual orientation, disability, or any other protected status is strictly prohibited. (c) Harassment, threats, abuse, hate speech, exploitation of vulnerable persons, or any conduct that undermines a safe environment will not be tolerated. G3. Safety & Security. (a) Users must not create unsafe, hazardous, or unlawful conditions. (b) Hosts must ensure properties are safe and compliant with health and safety laws. (c) Service Providers must follow safe working practices. (d) Guests must not endanger Hosts, Service Providers, or neighbours (e.g., unauthorised parties, criminal activity). G4. Honesty & Transparency. (a) Users must provide accurate information in Listings, profiles, reviews, and communications. (b) False, misleading, or deceptive conduct is prohibited. (c) Reviews must reflect genuine experiences and must not be manipulated. G5. Integrity of the Platform. (a) Users must not circumvent Hububb by arranging or accepting off-platform bookings or payments where the connection originated on Hububb. (b) Users must not misuse the Platform for fraudulent activity, scams, money laundering, or prohibited transactions. (c) Users must not scrape, hack, or interfere with the Platform’s operation or data. G6. Property & Neighbourhood Respect. (a) Guests must respect the property, house rules, and neighbours. (b) Excessive noise, nuisance, or illegal activity is prohibited. (c) Hosts must respond to legitimate neighbour or community complaints in good faith. G7. Zero-Tolerance Conduct. Hububb reserves the right to immediately suspend or terminate Users for: Violence or threats of violence; Sexual misconduct or exploitation; Fraud, scams, or identity theft; Hate speech or harassment; Repeated serious breaches of these Standards. G8. Investigations & Enforcement. (a) Hububb may investigate suspected breaches of these Standards. (b) Hububb may request evidence, statements, or cooperation. (c) Hububb may take actions including warnings, suspension, listing removal, booking cancellations, withholding of Payouts, or permanent termination. G9. Indemnity. Without limiting Section 20, Users shall indemnify Hububb against any claims, liabilities, or reputational harm arising from their breach of these Standards. G10. Updates. Hububb may update these Community Standards periodically to reflect evolving laws, expectations, or best practices. G11. Survival. This Schedule survives termination of these Terms with respect to any behaviour occurring prior to termination.

Schedule H — Jurisdiction-Specific Rules (UK & UAE)

H1. Purpose. This Schedule supplements the Terms of Business with jurisdiction-specific rules that apply in certain markets where Hububb operates. Where there is a conflict, these jurisdiction-specific rules prevail to the extent required by law. Part A — United Kingdom H2. 90-Day Short-Term Letting Rule (London). (a) In Greater London, properties may not be used as short-term lets for more than 90 nights in a calendar year unless planning permission is obtained. (b) Hosts and Agency Hosts are responsible for monitoring their usage and securing any necessary planning approvals. (c) Hububb is not responsible for monitoring or enforcing the 90-day limit. H3. Consumer Protection Legislation. (a) Hosts must comply with the Consumer Rights Act 2015 and the Consumer Protection from Unfair Trading Regulations 2008 when dealing with Guests. (b) Misleading omissions or unfair practices are prohibited. (c) Guests retain mandatory statutory rights regardless of these Terms. H4. Data Protection. (a) Hububb Ltd acts as data controller in the UK under the UK GDPR and Data Protection Act 2018. (b) Users must process personal data in accordance with these laws and Hububb’s Privacy Notice. H5. Taxes. (a) Hosts and Agency Hosts are responsible for declaring short-term rental income to HM Revenue & Customs (HMRC). (b) Hububb does not collect or remit UK income tax on behalf of Hosts. (c) VAT may apply to Hububb’s service fees. Part B — United Arab Emirates H6. DTCM Licensing (Dubai). (a) All short-term rental properties in Dubai must be registered with the Department of Tourism & Commerce Marketing (DTCM). (b) Hosts/Agency Hosts are responsible for securing and maintaining DTCM permits. (c) Hububb is not responsible for applying for or renewing permits on behalf of Users. H7. Municipality & Tenancy Rules (Abu Dhabi & Other Emirates). (a) Hosts/Agency Hosts must comply with all applicable Emirate-level licensing, municipality approvals, and tenancy laws. (b) Any restrictions on subletting in tenancy contracts are the sole responsibility of the Host/Agency Host to address. H8. Corporate Tax & VAT. (a) From June 2023, the UAE introduced a federal corporate tax regime. Hosts/Agency Hosts are responsible for compliance if applicable to them. (b) The UAE VAT regime applies at 5% on certain supplies. Hububb LLC will add VAT to its service fees where required. H9. Data Protection. (a) Hububb LLC operates under the UAE Federal Data Protection Law (Law No. 45 of 2021) and, where applicable, the DIFC Data Protection Law 2020. (b) Users must process personal data in compliance with UAE data protection requirements. H10. Enforcement & Penalties. (a) Non-compliance with UAE STR licensing can result in substantial fines, closure orders, and liability to Owners. (b) Hosts/Agency Hosts indemnify Hububb against penalties or enforcement actions arising from their non-compliance. H11. Survival. This Schedule survives termination of these Terms with respect to any Bookings or obligations arising in the UK or UAE.
